Brasnova Energy Materials Inc. Modified Option on Five Gold Projects Creating a District Scale Gold Portfolio in the Bahia Gold Belt of Brazil

Brasnova Energy Materials Inc. (BEM) has executed a modified binding agreement with BGC Gold Inc. to acquire a 50% equity interest in five gold projects in Brazil through the Brazilian subsidiary of BGC. The transaction, formalized via a Modified Option Agreement dated August 27, 2026, follows a previous news release from January 19, 2026.

The deal grants BEM the option to earn the interest by expending CA$1,000,000 over a 24-month period from the execution date. This consideration includes amounts already expended on the Capela Gold Project by BEM, as well as all work expenditures and holding fees due on the gold projects. Upon exercise of the option, BGC will transfer 50% equity ownership of the Brazilian subsidiary of BGC to BEM.

The updated portfolio spans 17,457.20 hectares in the Bahia Gold Belt, adding four new projects to the existing Capela Gold Project. The projects are located in the same belt as Pan American Silver's Jacobina complex and Equinox Gold's Santa Luz complex. The five gold projects include:

  • Process 871-774/2023: 1,966.69 hectares
  • Process 871-775/2023: 1,961.45 hectares
  • Process 871-777/2023: 1,828.68 hectares
