Brasnova cancels deal for Bahia, Rio Claro projects
Brasnova divests manganese and titanium assets to conserve dwindling cash reserves.

Brasnova Energy Materials Inc. has terminated its agreement to acquire a 100% interest in the Bahia manganese project and the Rio Claro titanium project. The termination follows a prior news release dated May 5, 2025. No financial terms, penalties, or refund mechanisms for the termination were disclosed in the release.
The company will refocus its resources on the development of the Capela gold project and the remainder of its project portfolio in the Bahia gold belt.
Brasnova Energy Materials Inc. (BEM) has terminated its Bahia and Rio Claro projects, a strategic retreat driven by severe capital constraints rather than a change in project fundamentals. By abandoning these assets, the company eliminates future option payments and work commitments, thereby preserving its remaining cash. This decision aligns with the company's disclosed going concern warning and follows its failure to close the second tranche of a planned $750,000 financing in March 2026, having only closed the first tranche of $238,800.
The move shrinks the company's asset base and future optionality, but it is a necessary step to avoid immediate default on project obligations. The market has already priced in the liquidity crunch, with the stock trading near its 52-week low. The news is expected and incremental to the deteriorating financial picture.
Brasnova Energy Materials Inc. is an early-stage exploration company focused on developing a vertically integrated, sustainable Western battery material supply chain in Brazil. Its flagship asset is the Capela Gold Project in Bahia, Brazil, where the company recently advanced systematic rock and soil sampling. Rock chip results from this work returned up to 4.13 g/t Au, and a NI 43-101 technical report is currently being prepared.
The company previously held interests in the Gloria Manganese, Rio Claro Titanium, Jucurutu Copper, Pernambuco Copper, and Piaui Verde Phosphate projects. However, the Bahia manganese and Rio Claro titanium projects have now been terminated. Brasnova’s strategy targets battery-grade cathode materials, including LFP, LMFP, and LMR, as well as current collectors. Lithium is excluded from the company's direct asset focus.
