Foremost Clean forms GR, Blackwing JVs with Denison
Denison advances its Athabasca project through a joint venture land acquisition while maintaining construction momentum and a strong cash position.

Denison Mines Corp. has finalized a transaction with Foremost Clean Energy Ltd. to establish two exploration joint ventures covering the GR and Blackwing properties in the Athabasca Basin. Under the terms of the agreement, Denison acquires an 80% working interest in each joint venture, while Foremost retains a 20% stake.
To secure these interests, Denison paid Foremost $650,000 CAD in cash along with 1,031,191 share purchase warrants. The warrants carry a $1.80 exercise price and a five-year term, with a four-month hold period that expires on March 3, 2027. This premium structure represents a markup of over 175% to Foremost’s closing price of $0.64 on Oct. 22, 2026. Additionally, Denison’s total ownership in Foremost is capped at 19.95% of issued and outstanding shares, a structure designed to prevent the triggering of early-warning reporting thresholds.
Denison assumes responsibility for financing 80% of future exploration expenditures on the properties. Meanwhile, Foremost retains an amended option to earn additional interests in seven other properties as well as the Hatchet Lake property, contingent upon completing $12 million in exploration expenditures by July 9, 2029. The proceeds received by Foremost from the transaction will largely be directed toward funding exploration at the Turkey Lake property.
Denison Mines Corp. (DML) has formed a joint venture with Blackwing, acquiring an 80% stake in prospective ground along the Grease River shear zone and Black Bay fault. The transaction de-risks future exploration through a partner-funded model, with Denison funding 80% of the costs while Foremost retains a 20% upside. The deal includes a warrant premium of 175% and a cash outlay of $650,000.
The acquisition is immaterial relative to Denison’s $465.3 million cash position and its $600 million+ Phoenix capex budget. The move does not alter near-term production, cash flow, or cost structure. The market has already priced in Denison’s continued exploration expansion and strategic footprint building, consistent with the company’s historical joint venture formation pattern with Foremost, Skyharbour, and Cosa.
Denison Mines Corp. (DML) is a Canadian uranium developer and producer focused on the Athabasca Basin in Saskatchewan. The company’s flagship asset is the Wheeler River Project, which holds a 95% effective interest and includes the Phoenix ISR mine and the Gryphon underground deposit.
Denison also maintains producing and strategic assets through the McClean Lake Joint Venture, holding a 22.5% interest. This venture includes the McClean North mine, which utilizes the SABRE method, as well as toll milling operations.
The company’s development and exploration portfolio includes the Midwest JV with a 25.17% interest, the Waterbury Lake JV with a 70.55% interest, and extensive exploration ground secured through joint ventures with Cosa, Skyharbour, and Foremost. These assets are located in a Tier-1 Canadian mining region characterized by established infrastructure, grid power, and regulatory clarity.
