UraniumX Completes Acquisition of the Dieter Lake Uranium Project; IsoEnergy Becomes Strategic Shareholder
IsoEnergy completes the Dieter Lake sale for UraniumX shares and a 2% net smelter return.

UraniumX Discovery Corp. has completed the acquisition of a 100% interest in the Dieter Lake uranium project in North-Central Quebec from Consolidated Uranium Inc., a wholly owned subsidiary of IsoEnergy Ltd. (ISO). The transaction, which closed on July 10, 2026, involved no cash payment from UraniumX and no finder’s fees.
In exchange for the project, IsoEnergy received 18,000,000 UraniumX common shares at a deemed price of $0.10 per share, representing approximately $1.8 million in deemed consideration. Additionally, IsoEnergy secured a 2.0% net smelter returns royalty on all future production from Dieter Lake.
Following the transaction, IsoEnergy holds approximately 15.2% of UraniumX on a non-diluted basis, making it an insider. The company retains the right to nominate one director to UraniumX’s board, provided it maintains a 5.0% partially diluted ownership interest, along with participation and top-up rights in future equity issuances. The shares are subject to a four-month statutory hold period, with a voluntary lock-up releasing 25% of the holdings at each of the 4, 8, 12, and 16-month anniversaries of closing.
Dieter Lake hosts a historical mineral resource estimate dated 2006, which is not a current NI 43-101 resource. The estimate includes 19.3 million tonnes at 0.057% U3O8 for approximately 24.4 million pounds U3O8.
IsoEnergy Ltd. (ISO) has completed the previously announced divestiture of a non-core Quebec asset, a transaction first disclosed in July 2026. The company received deemed share consideration valued at approximately $1.8 million. This amount is minimal relative to IsoEnergy’s scale, with a market capitalization of approximately C$950 million based on the latest closing price. As of Q2 2026, the company held C$122.9 million in cash and C$41.8 million in marketable securities.
