IsoEnergy and DISA Technologies Announce Closing of Transaction to Form DISA Uranium Corporation

IsoEnergy secures a 33% stake in DISA Uranium’s Utah assets with $105 million in backing.

Executive Summary

IsoEnergy Ltd. and DISA Technologies finalized the transaction to form DISA Uranium Corporation on August 19, 2026. As part of the deal, IsoEnergy contributed its Utah Portfolio, which includes the Tony M, Daneros, Rim, Sage Plain, and Flatiron assets. In exchange, IsoEnergy received 1,677,350 common shares of DISA Uranium.

Concurrently, DISA Uranium closed its previously announced US$105 million private placement. Investors in the financing include Tembo Capital, BHP Ventures, Galvanize Climate Solutions, Valor Equity Partners, Evok Innovations, Halliburton Labs, and Veriten. IsoEnergy invested US$33 million in the financing round.

Following the closing, IsoEnergy holds approximately 33% of DISA Uranium on a fully diluted basis, making it the company’s largest shareholder. The DISA Uranium board of directors now consists of seven members, including IsoEnergy Chairman Richard Patricio and IsoEnergy CEO Philip Williams. DISA Uranium’s stated strategy focuses on uranium recovery from abandoned mine waste, conventional U.S. uranium production, and domestic processing capacity, with the Tony M site expected to be a near-term priority.

The release contains no new assay results, no new reserve or resource update, no new financing terms beyond closing, and no new valuation disclosure. It refers to the August 4, 2026 announcement for prior detail.

Material Impact

IsoEnergy Ltd. (ISO) has closed a transaction previously announced on August 4, 2026. The August 4 disclosure outlined the asset contribution, US$105 million in financing commitments, IsoEnergy’s US$33 million investment, an approximately 33% ownership stake, an implied pro forma fully diluted equity value of approximately US$505 million, and the expected August 2026 closing. Today’s news confirms the execution of those terms.

The transaction removes closing risk and confirms that strategic financing was completed. From a financial-statement perspective, this is not an earnings release. Prior-period context shows IsoEnergy reported Q2 2026 revenue of zero, a six-month net loss of about C$8.19 million, and June 30 cash of about C$122.9 million. The US$33 million payment to DISA Uranium is a post-balance-sheet cash outflow that was not reflected in the June 30 cash balance, so it should be modeled as reducing IsoEnergy’s available liquidity going forward.

The market appears to have already reacted to the DISA announcement at the beginning of August. The stock closed at $13.03 on 2026-07-31, then rose to $15.10 by 2026-08-17 before settling at $14.27 on 2026-08-18. The closing release did not provide a new technical breakout signal.
