Delta Resources Completes Acquisition of 100% Interest in the Gold Creek Property Hosting the High-Grade I-Zone Gold Prospect, Thunder Bay, Ontario

Delta secures I-Zone control via cash buyout to avoid dilution ahead of critical fall drilling.

Executive Summary

Delta Resources Limited (DLTA) has finalized the acquisition of a 100% interest in the Gold Creek Property, which hosts the I-Zone, from LatAm Lithium Corp. This transaction completes an option agreement originally announced in May 2024. The deal was executed under amended terms that utilized $180,000 in cash payments to satisfy final obligations, replacing the original plan to issue 666,667 common shares and thereby avoiding shareholder dilution.

The 340 km² asset, located in Duckworth Township, Ontario, features historical high-grade gold occurrences. These include a 9.9 g/t Au mini-bulk sample and multiple intercepts exceeding 4 g/t Au. The company is currently conducting its largest field exploration program to date, deploying a team of 10 geologists for trenching, channel sampling, and prospecting across the I-Zone and surrounding targets.

An inaugural drill program at the I-Zone is scheduled for fall 2026, while definition and step-out drilling at the Eureka deposit is set to begin in August 2026.

Material Impact

Delta Resources Limited (DLTA) has completed a long-pending option agreement, a transaction structure and share issuance obligation already known to the market. The company opted to pay $80,000 in cash rather than issuing shares, a move that preserves shareholder value though the financial magnitude remains immaterial relative to the company's treasury and market capitalization.

Securing 100% control over the I-Zone aligns with the company's stated district-scale land consolidation strategy and provides management with full operational flexibility. The update does not introduce new geological data, financial results, or changes to the exploration roadmap, serving only to confirm the execution of a previously disclosed transaction.
