Awale Announces Exercise of Participation Rights by Fortuna Mining

Awale’s cash rises to $35m following Fortuna’s participation, funding an exploration push at its Odienné project.

Executive Summary

Fortuna Mining Corp. exercised its participation rights in a previously announced non-brokered private placement, maintaining its equity stake in Awale Resources Limited. Predictive Discovery Limited (PDI) subscribed for 16,642,352 shares at $0.85 per share, contributing approximately $14.16 million. Fortuna subscribed for 5,695,312 shares, bringing total gross proceeds to approximately $18.99 million.

Post-closing cash position is expected to exceed $35 million, bolstered by the financing and Newmont's joint venture funding. Proceeds will primarily fund exploration across Awale's 100%-owned Odienné Project permits in Côte d'Ivoire.

Post-closing ownership: - PDI holds ~11.8% - Fortuna holds ~14.7% - Total shares outstanding rise to 141,334,595

Securities carry a statutory 4-month-and-1-day hold period. No warrants were issued.

Material Impact

Awale Resources Limited (ARIC) has completed a financing round that serves as a direct follow-up to the July 14, 2026 announcement of PDI's strategic investment. Participation rights were explicitly disclosed in that prior release, making this transaction a routine execution step.

The approximately $19 million capital raise significantly strengthens the balance sheet, pushing cash reserves above $35 million. This provides ample runway to execute the planned 100,000-metre drilling program and advance toward the targeted Preliminary Economic Assessment (PEA) in Q3 2026. Dilution is accounted for and priced in at the $0.85 issue price, which carried a ~10% premium to the 5-day VWAP at the time of the initial announcement.

The news is positive but expected. It does not introduce new strategic partnerships, M&A, or unexpected operational breakthroughs. It simply converts announced participation rights into closed capital, de-risking near-term exploration execution.

Company Overview

Awale Resources Limited (ARIC) is an exploration-stage gold and copper developer focused on the Odienné Project in northwestern Côte d'Ivoire. The flagship Odienné Project spans 2,346 km² across seven exploration permits. A 797 km² portion is held in a joint venture with Newmont Corporation, in which Newmont earns 75% (currently 61%). The joint venture is fully funded by Newmont and managed by Awale.

An initial inferred mineral resource estimate effective April 1, 2026, identified 32.4 Mt at 1.64 g/t AuEq for 1.71 moz AuEq. This resource comprises BBM (1.36 moz AuEq), Charger (232K oz AuEq), and Empire (119K oz AuEq).

Awale is pursuing an aggressive 100,000-metre drilling campaign across joint venture and 100%-owned permits. The strategy aims to expand resources, test underground potential at BBM and Charger, and evaluate greenfield targets such as Fremen and Seydou.
