Getty Copper Announces Signing of Amalgamation Agreement and Concurrent Financing

On November 17, 2025, Getty Copper announced it has signed a definitive amalgamation agreement with 1390120 B.C. Ltd. ("Numberco"). This follows the Letter of Intent (LOI) first announced on August 6, 2025. The transaction will see Getty acquire all shares of Numberco, which owns the Dot Property, a copper exploration asset in British Columbia.
Concurrent with the amalgamation, the company is undertaking a brokered private placement of subscription receipts for gross proceeds of up to $15 million, with a minimum of $12 million required for the deal to close. The financing is priced at $0.12 per subscription receipt.
Proceeds from the financing will be used to retire approximately $3.7 million of Getty's existing debt, fund continued development of the combined mineral properties, and for general corporate purposes.
The agreement also confirms the proposed changes to the board of directors, with Charles Funk set to become Chairman and Mahesh Liyanage joining as a Director.
This news is a complete transformation for Getty Copper and represents a game-changer for the company, shifting it from a debt-laden, financially distressed entity to a well-capitalized exploration company with a new, highly credible management team.
Getty Copper Inc. is a Canadian-based mineral exploration company focused on its flagship Getty Project, a portfolio of copper properties (Getty North, South, Central) located in the Highland Valley district of British Columbia.
