Errington Metals Corp. has signed a definitive agreement to acquire the Mid Zone property from Vale Canada Limited. The transaction adds approximately 1,270 hectares to the company's land package, increasing the continuous prospective strike length to over 20 km and connecting the Vermilion and Errington properties.
Consideration for the deal consists of 2,336,472 common shares, representing approximately 4.99% dilution, a 1.5% Net Smelter Returns (NSR) royalty, and deferred cash payments of $5 million each upon commercial production and processing of 5 million tonnes of ore. The NSR royalty increases to 2.5% if $2 million in exploration expenditures are not incurred within five years of closing, with a maximum aggregate NSR cap of 3%.
Vale becomes a key shareholder as a result of the transaction, joining Glencore, which already holds a significant position. The acquisition follows a non-binding term sheet announced on June 9, 2026, and is subject to regulatory and TSXV approvals, with closing expected by October 20, 2026.
