Silver Hammer and Stroud Resources Announce up to C$10 Million Brokered Financing in Connection with Silver Frontier Transaction
Stroud secures C$10m financing ahead of its merger with Silver Frontier.

Silver Hammer Mining Corp., Stroud Resources Ltd., and SilverMark Resources Inc. are advancing a three-cornered amalgamation to create Silver Frontier Resources Corp. The transaction involves a brokered private placement of subscription receipts priced at C$0.26 per unit, targeting C$7M to C$10M in gross proceeds. Each unit includes one full warrant exercisable at C$0.38 for 36 months. Proceeds are held in escrow until amalgamation conditions are satisfied, with a hard deadline of October 31, 2026. Eric Sprott is participating as a cornerstone investor, and the transaction includes a 1-for-4 share consolidation for Silver Hammer.
The financing serves as a direct execution step of the previously announced July 20 amalgamation, providing essential working capital and exploration funding for the combined entity. While the capital raise is positive, it was already disclosed in the July announcement. The inclusion of Eric Sprott as a cornerstone validates the project's potential but does not represent new information.
The escrow structure protects investors but ties the financing's availability to the successful closing of the M&A by October 2026. Overall, the news confirms the transaction's progression and secures necessary liquidity, but lacks unexpected upside or downside surprises.
