Sprott holds 37.28 million Stroud shares, representing approximately 58.6% of the outstanding stock. The agreement ensures his shares are voted in favor of the business combination and restricts dispositions until the transaction closes.
The announcement follows the July 20 disclosure of a definitive three-cornered amalgamation between Silver Hammer, Stroud, and SilverMark Resources Inc., which will create Silver Frontier Mining Corp. Stroud shareholders will receive approximately 3.1119 pre-consolidation HAMR shares per Stroud share, effectively 0.777963 post-consolidation shares following a 1-for-4 HAMR share consolidation. A concurrent C$7–10 million brokered private placement, with a lead order expected from Sprott, is a condition of closing.
