Silver Hammer and Stroud Shareholders Overwhelmingly Approve the Amalgamation of Silver Hammer, Stroud and SilverMark, and Announce Results of Annual and Special Meetings
Stroud shareholders approved a $10 million amalgamation to create a new silver platform combining its existing projects.

Silver Hammer Mining Corp. and Stroud Resources Ltd. have secured overwhelming shareholder approval for their proposed three-cornered amalgamation to form Silver Frontier Resources Corp. Voting results indicate 96.88% approval from Silver Hammer shareholders and 99.999% approval from Stroud shareholders, which included a majority-of-the-minority vote under NI 61-101.
The transaction remains conditional on completing a previously announced C$10 million brokered subscription receipt financing. Upon completion, the new entity will hold Stroud’s Santo Domingo Silver-Gold Project in Mexico, SilverMark’s Moroccan assets (including the Akka Mine), and Silver Hammer’s U.S. portfolio.
Governance updates include a four-to-six director board expansion, the appointment of Manning Elliott LLP as the new auditor, and the approval of a 2026 Omnibus Equity Incentive Compensation Plan.
Stroud Resources Ltd. (SDR) has cleared the final major corporate hurdle for its amalgamation, securing shareholder approval that significantly de-risks the transaction timeline. The vote was overwhelmingly in favor, with 99.999% of Stroud shareholders approving the deal. This result validates the strategic rationale and the exchange ratio of 0.777963 post-consolidation shares per Stroud share.
The deal structure combines complementary silver assets to create a more diversified and capitalized exploration platform. This approval serves as an expected procedural milestone following the July 20 announcement and the August financing update. It confirms the path to closing without introducing new fundamental surprises.
Silver Frontier Resources Corp. will operate as a diversified silver exploration company with assets in North America and Africa. Its flagship project is the Santo Domingo Silver-Gold Project in Jalisco, Mexico. An updated NI 43-101 Mineral Resource Estimate from August 2026 reports 5.7 Mt Measured & Indicated at 79 g/t Ag and 0.42 g/t Au (14.3 moz Ag, 76 koz Au), alongside 3.9 Mt Inferred resources.
The company also holds additional assets, including U.S. properties such as Silver Strand, Eliza Silver, Silverton Silver Mine, and the Fahey Group option, as well as Moroccan polymetallic projects including the Akka Mine and the Polymetallic Project. The strategy involves advancing high-grade silver-gold projects toward production, leveraging open-pit potential at Santo Domingo and past-producing history in Morocco.
