Sigma Lithium Announces Full Resumption of Mining-Industrial Operations; Signed a TAC Agreement with the State of Minas Gerais; Expects to Produce 240,000t Within 12 Months

Sigma must produce 240kt to restart operations under the signed TAC agreement.

Executive Summary

Sigma Lithium Corporation (SGML) has signed a Terms for Adjustment of Procedures agreement with the State of Minas Gerais, a move that officially ends the partial mining and industrial suspension. Consequently, mining and industrial operations are fully back online and regular operating activities have resumed.

The settlement involves fines of up to US$540,000 for environmental matters from 2013–2022 and roughly US$1,000,000 in environmental procedure capex. While Sigma Lithium denies wrongdoing, the company agreed to widen and gravel access roads for two houses outside its licensed area.

The company reaffirmed production guidance of 240,000 tonnes of lithium oxide concentrate within 12 months and 330,000 tonnes in FY27. It also greenlit the next stage of haulage fleet upgrades with SANY, including 75t trucks and 98t excavators. Sales of high-purity lithium fines and intermediate grade products continued without disruption during the partial suspension.

The technical content was approved by Alexandre Rodrigues Cabral, a non-independent qualified person and Sigma Lithium director.

Material Impact

Sigma Lithium Corporation (SGML) has resolved a known temporary suspension, a development that does not alter the company’s reserves, resources, production capacity, or long-term economics. The resolution involves a fine and environmental capital expenditure totaling approximately US$1.54 million. Against second-quarter 2026 net revenue of roughly US$55 million, this amount represents about 2.8% of quarterly revenue and is immaterial when compared to first-half 2026 revenue of US$97 million.

The terms of the agreement with the TAC were previously disclosed in releases dated July 22 and August 14, 2026. The new information consists of the actual signature and operational restart, which management had previously indicated would occur in the near term. Consequently, guidance remains unchanged, with no production beat, cost beat, or upward revision to guidance included in the release.

The fleet upgrade serves as a confirmation of an already-announced strategic direction rather than a new expansion decision. While the release removes a regulatory overhang, it does not provide proof that the company can reclaim lost output or achieve its 240,000-tonne 12-month production target.
