Each unit consists of one common share and one-half of a common share purchase warrant. Warrant terms include an exercise price of $0.70, expiring 18 months from closing.
Net proceeds will fund surface and underground drilling programs at the La Parrilla Silver Mine Complex and general corporate/working capital. The transaction is subject to TSX Venture Exchange approval and customary conditions, with an expected closing around August 25, 2026. The company relies on exemptions from formal valuation and minority shareholder approval as the transaction value does not exceed 25% of market capitalization.
