Entree Resources Announces Non-Brokered Private Placement
Tether-backed financing injects liquidity into the Mongolia joint venture license transfer stalemate.

Entree Resources Ltd. (ETG) announced a non-brokered private placement of up to 11,000,000 units at C$2.90 per unit, targeting gross proceeds of up to C$31,900,000. Each unit comprises one common share and one common share purchase warrant. The warrants carry a C$3.95 exercise price and a three-year term from issuance.
A significant portion of the capital is allocated to a new strategic investor, identified as an affiliate of the Tether group of companies. Proceeds will fund the updated Technical Report for the Entrée/Oyu Tolgoi joint venture, expand the company's operational footprint in Mongolia, and potentially reduce metal credits/deposits owed to International Royalty Corporation. Closing is anticipated in Q4 2026, subject to regulatory approvals and TSX acceptance. Securities carry a four-month-plus-one-day hold period. No finder's fees are payable.
Entree Resources Ltd. (ETG) has secured a financing deal that boosts its cash position from $3.1 million to approximately $25–26 million USD, based on an assumed exchange rate of ~1.35 CAD/USD. This injection extends the company’s operational runway by 12–18 months. The issuance represents approximately 5.3% dilution on a fully diluted basis, including warrants, and was priced at a slight premium to the recent trading range of $2.80–$3.05.
The transaction includes a Tether affiliate as a strategic investor. While this brings fresh capital, it introduces potential regulatory and reputational scrutiny due to the evolving compliance landscape in the crypto-asset sector, without inherently de-risking the core regulatory hurdles in Mongolia. The proceeds will be used to fund the technical report and reduce IRC deposits, aligning with previously stated management priorities. Given the company’s prior cash balance and ongoing legal and technical costs, the market likely anticipated this capital raise, making the announcement incremental rather than transformative.
There is no change to the fundamental timeline for the license transfer or the development of the Lift 1 Panel 1. The primary catalyst remains the resolution of the Mongolian Tax Authority valuation dispute and state ownership negotiations.
Entree Resources Ltd. (ETG) holds a carried participating interest in the Entrée/Oyu Tolgoi Joint Venture (EJV) in Mongolia. The ownership structure provides a 20% carried interest for mineralization below 560 metres elevation and a 30% carried interest above that elevation. The joint venture partner is Oyu Tolgoi LLC (OTLLC), a collaboration between Rio Tinto (66%) and the State of Mongolia (34%).
ETG’s flagship project is the Hugo North Extension (HNE), which focuses on copper, gold, and silver. Development status for Lift 1 Panel 1 underground work is currently paused pending the transfer of Shivee Tolgoi and Javkhlant mining licenses to OTLLC. Meanwhile, Lift 1 Panel 0 and Panel 2 North are in production.
