A second tranche, representing CAD$3.25 million under irrevocable subscription agreements, is expected to close by August 28, 2026, bringing the total offering to CAD$5.2 million.
A new strategic investor subscribed to more than 60% of the total offering and is concurrently entering into a strategic equity participation at the project level in the Guben lithium hydroxide converter in Germany. Proceeds from the offering will advance the Definitive Feasibility Study (DFS) for the Georgia Lake Mine, support development of the Red Rock Converter in Ontario, and fund general corporate and working capital needs. Each unit includes one common share and one-half of one common share purchase warrant exercisable at $0.90 per share for 36 months. Finder compensation includes a 6% cash commission and 6% broker warrants exercisable at $0.65 for 24 months. Closing remains subject to TSX Venture Exchange approval.
