Winshear Receives TSXV Approval to the Thunder Bay Gold Project Assessment Credit and Property Purchase
Winshear’s TSXV approval finalizes the Thunder Bay credit purchase, though dilution and cash burn persist.

Winshear Metals Corp. has received final approval from the TSX Venture Exchange for its agreement to acquire mineral exploration credits associated with claim 908950 at its Thunder Bay Gold Project. The transaction consideration consists of 1,000,000 common shares and 500,000 share purchase warrants issued to the vendors. The acquired claim carries an exploration assessment credit valued at $608,083.
The warrant terms specify a $0.20 exercise price with a 3-year term ending August 20, 2029. The 1,000,000 issued shares carry a hold period of 4 months plus one day, expiring December 21, 2026. This approval closes the administrative step of the transaction initially announced on June 23, 2026.
Winshear Metals Corp. (WINS) received administrative approval for a transaction announced in June 2026, marking an expected milestone that introduces no new capital, exploration data, or changes to the company’s operational roadmap. The deal involves the issuance of 1,000,000 shares and 500,000 warrants. While dilutive, these terms were fully priced and disclosed months ago, allowing the market to absorb the potential impact.
The acquisition secures additional exploration credits for the Thunder Bay project, supporting the company’s stated work program. However, it does not alter the fundamental risk profile of the exploration-stage company, which currently generates no revenue and maintains thin liquidity. The news aligns with previous expectations and provides no immediate catalyst for price appreciation, nor does it mitigate ongoing cash burn or exploration risks.
Winshear Metals Corp. (WINS) is a Canadian exploration-stage company focused on mineral property acquisition and exploration. Its flagship asset is the Portsoy Nickel-Copper-Cobalt Project in Aberdeenshire, Scotland, where the company holds an earn-in agreement to acquire a 100% interest from Peak Nickel Ltd.
The company also operates the Thunder Bay Gold Project in Northwestern Ontario. It has recently secured additional exploration credits and is currently conducting soil, till, and magnetic surveys at the site.
Winshear Metals is in the exploration stage, with no known mineral resources or reserves and no revenue generation. Technical validation at Portsoy includes metallurgical testwork which confirms the ore is amenable to conventional flotation, producing marketable copper and nickel concentrates with attractive grades.
