Aldebaran Resources Inc. (ALDE) shareholders approved the statutory plan of arrangement to spin out its majority-owned subsidiary, Centauri Minerals Inc., on August 7, 2026. The Court of King’s Bench of Alberta granted the final order for the Arrangement on August 11, 2026, clearing the last regulatory hurdle.
The transaction distributes approximately 18,535,783 Centauri common shares to Aldebaran shareholders on a one-for-ten basis. Completion is expected before the end of August 2026, pending standard closing conditions including TSX Venture Exchange listing approval for Centauri.
Centauri will operate as a standalone public entity holding a 100% interest in ~40,000 hectares across Salta, Jujuy, and Catamarca, Argentina, with the Rio Grande gold-copper project as its flagship. Upon completion, Aldebaran will focus exclusively on advancing its flagship Altar copper-gold project in San Juan Province.
