The Cygnus Board has unanimously recommended that shareholders vote in favor of the Scheme, a recommendation contingent on the absence of a superior proposal and the conclusion of the independent expert. A scheme meeting is targeted for mid-September 2026, with implementation anticipated in early October 2026. This development follows the initial acquisition announcement on June 2, 2026, which offered 0.06 new CAML shares per Cygnus share, implying an equity value of approximately A$232 million and a 60% premium to Cygnus' last closing price.
