Sigma Lithium Extends 4-Year US$100 Million Senior Secured Debt to June 2027; 7,090t Produced Since Restart

Sigma defers us$100m debt to 2027, breaking its vow to repay by q3 2026.

Executive Summary

Sigma Lithium Corporation (SGML) has entered into an agreement letter with lender Synergy Capital to extend the maturity of its US$100 million senior secured debt by six months, pushing the repayment date from December 2026 to June 2027. The interest rate remains unchanged at SOFR plus 6.95% per annum, and the covenants and events of default remain similar to those in the original December 2022 agreement.

The company stated that the extension allows it to address 93% of its debt profile by June 2027, aiming to enhance financial flexibility ahead of schedule. Since the second quarter of 2024, Sigma has repaid more than US$90 million through cash generation, reducing total debt by approximately 40% over two years to US$125 million as of October 21, 2026.

Operations at the company’s facility, now rebranded as the "Cleantech Industrial Plant," recommenced on October 5, 2026, following a Federal Superior Court decision that reinstated environmental licenses. Between October 5 and October 21 or 22, 2026, the company produced 7,090 tonnes of lithium oxide concentrate. However, the release contains an internal inconsistency regarding this figure; while the headline and highlights cite 7,090 tonnes, a quote from the CEO states that "more than 6,400 tonnes" were produced in the two weeks since operations resumed. The company did not reconcile the two figures.

Sigma maintains its target to scale production to 330,000 tonnes of annualized lithium oxide concentrate by the end of 2027. The company is scheduled to report third-quarter 2026 results, including production, sales, realized prices, costs, and cash flow, on November 13, 2026.

Material Impact

Sigma Lithium Corporation (SGML) has secured a six-month extension on its debt, a move that pushes back a near-term maturity wall and keeps the lender in the capital structure. The specific terms of the deferral and the revised date were not previously disclosed, though the company had indicated in its Q2 2026 release that it was negotiating financing to repay US$95 million outstanding under an export prepayment agreement with Synergy. The extension confirms the company cannot meet the original maturity date and is buying time while retaining flexibility to ramp up operations post-restart.

The terms of the extension did not worsen the interest rate or covenants. However, the coupon remains punitive at SOFR + 6.95%, resulting in an all-in rate of approximately 11% on the US$100 million principal. This equates to more than US$11 million in annual cash interest against thin liquidity. The six-month deferral formally breaks management’s stated goal of repaying debt by the end of Q3 2026, deferring rather than fixing the leverage and liquidity problem.

The facility is described as the largest industrial-mineral lithium oxide concentrate producer in the Americas and the fifth-largest such complex globally. Its flagship assets include Mine 1 and the Cleantech Industrial Plant, formerly known as Greentech, which has a stated nameplate capacity of 330,000t/yr of lithium oxide concentrate.

The company highlights its "Quintuple Zero" sustainability approach, which features dry-stacked tailings, the absence of tailings dams, approximately 100% water reuse, 100% renewable electricity, and the use of no toxic chemicals, supported by a long accident-free record.
