LibertyStream Announces Lithium Carbonate Sales Contract with International Battery Material Maker Covering 2027-2031 Supply

Libertystream Infrastructure Partners secures a definitive 2027-2031 lithium contract that necessitates significant new capacity to fulfill the committed demand.

Executive Summary

LibertyStream Infrastructure Partners Inc. (LIB) has entered into a definitive U.S.-origin lithium carbonate sales contract with a leading international battery material maker. The agreement commits the company to supply 500 metric tonnes in 2027 and establishes binding terms for an additional 17,000 metric tonnes through December 31, 2031.

The contract serves as the definitive agreement for a September 3, 2026 memorandum of understanding and follows successful field operations, DLE testing, and customer qualification at the Freedom Launchpad facility. Volumes for 2028 through 2031 are contingent upon the execution of a separate Long-Term Supply Agreement (LTSA) and meeting delivery schedules. Fulfilling the 2028-2031 delivery schedules will require the company to develop, finance, and commission additional U.S. production capacity beyond its current capabilities.

Pricing and other commercial terms are not disclosed. The contract is in addition to the previously announced 600-tonne-per-year industrial offtake agreement.

Material Impact

Libertystream Infrastructure Partners Inc. (LIB) announced on November 5 a definitive contract through 2031, a development that follows the company’s September 3, 2026 financing term sheet and October 16, 2026 commercial update. The agreement validates the market demand pipeline and provides a potential revenue anchor for the Freedom 1 facility.

However, the materiality of the contract is heavily diluted by its conditional nature. Volumes from 2028 to 2031 are strictly contingent on executing a separate long-term supply agreement and, more critically, building out significant new U.S. production capacity. The company’s current cash position of $7.15 million as of Q1 2026 is insufficient to fund the required capacity expansion. Consequently, the $95 million project financing term sheet with Endurance Finance Partners, announced on September 3 and extended to November 14, 2026, remains the primary enabler for this contract.

The news does not de-risk the execution timeline, alter the capital requirement, or provide immediate cash flow. It serves as an incremental, expected follow-up to prior announcements that confirms demand but shifts the near-term focus back to capital raising and facility construction.

Company Overview

LibertyStream Infrastructure Partners Inc. (LIB) is a pre-revenue critical minerals company focused on Direct Lithium Extraction (DLE) from U.S. oilfield brine. Its flagship project, the Freedom Launchpad / Freedom 1 facility, is located at Select Water Solutions' site in Howard County, Texas. The facility is designed to integrate LibertyStream's DLE and refining technologies with existing oilfield water infrastructure to produce battery-grade lithium carbonate.

Stage 1 of the project targets 1,000 tonnes per annum (tpa) capacity, with commissioning targeted for December 2026. Stage 2 and Stage 3 plan to add additional 1,000 tpa facilities by mid-to-late 2027 across multiple Texas counties. The company re-domiciled to Texas in April 2026 to align with its operational footprint and support a future U.S. exchange listing.
