Mkango Magnetic Materials Limited Announces Effectiveness of Form F-4 Registration Statement

Mkango’s Nasdaq vote is set for November 25 after the SEC cleared its F-4 registration statement.

Executive Summary

Mkango Resources Ltd. (ticker MKA) is advancing its proposed business combination with Crown PropTech Acquisitions (CPTK), following the U.S. Securities and Exchange Commission’s declaration of the Form F-4 effective on November 4, 2026. The definitive proxy statement and prospectus are scheduled to be mailed to CPTK shareholders of record as of October 30, 2026, on or about November 5, 2026. An extraordinary general meeting is set for November 25, 2026, with public shareholders required to submit redemption requests and deliver shares by November 23, 2026, to receive cash upon closing.

Upon closing, subject to shareholder approval and Nasdaq listing approval, Mkango’s common shares and warrants are expected to trade on the Nasdaq under the symbols “MKAR” and “MKARW.” The company has stated that Nasdaq has not yet approved the listing application and there is no assurance it will. Mkango holds the Songwe Hill rare earths project in Malawi and the proposed Pulawy separation plant in Poland, both designated as strategic projects under the EU Critical Raw Materials Act. Songwe Hill has received $4.6 million in reimbursable funding from the U.S. Export-Import Bank’s Development Finance Corporation for front-end engineering and design. The parent company also controls the Maginito/HyProMag recycling and magnet-manufacturing platform and Remloy.

The path to this transaction has involved significant operational developments and timeline adjustments. From November 19, 2025, to December 15, 2025, HyProMag USA expanded its feedstock sourcing with ILS, finalized a Texas lease, and increased the valuation of the Texas Hub, signaling a move toward construction and first production. Operational milestones followed in early 2026, with HyProMag opening plants in Birmingham and Pforzheim, Germany, in January and April 2026, respectively. These were commissioning events rather than full commercial ramp-ups.

Financial and strategic milestones continued throughout the year. On February 16, 2026, Mkango confidentially submitted a draft Form F-4, implying a pro forma value of its stake at $400 million and targeting a Q2 2026 closing. In March, the company released a definitive feasibility study for Songwe Hill, showing a post-tax net present value of $339 million at a 10% discount rate, an internal rate of return of 24%, and capital expenditure of approximately $325.5 million. A preliminary feasibility study for Pulawy indicated a base-case post-tax NPV of $779 million, an IRR of approximately 40%, and capex of about $212 million.

In April 2026, Mkango closed a £12.5 million equity raise at 33 pence per share, financing the Remloy acquisition and near-term capital expenditures in the UK and Germany. By May 20, 2026, the company had agreed to acquire Remloy from Heraeus for €8 million, with €5 million paid at closing and €3 million deferred to August 2028. The acquisition was closed by August 31, 2026.

Updates to HyProMag USA’s economics occurred between June and October 2026. The Texas Hub lease was secured, with occupation beginning in June 2026. Initial magnet finishing was moved to the first half of 2027, and the integrated HPMS hub to Q2 2028. A preliminary feasibility study released on October 27, 2026, expanded the U.S. plan to include three additional plants, raising the post-tax NPV range to $1.854 billion–$2.062 billion. However, the Northlake Texas NPV was reduced to approximately $723 million from $797 million due to later construction timing and higher costs.

To support the transaction, CPTK entered non-redemption agreements with BlackRock-managed funds on September 3, 2026, covering 400,000 public shares to retain at least $4.8 million in trust toward the $5 million minimum cash condition. On October 28, 2026, Mkango acquired the remaining 10% of HyProMag Germany, raising its effective interest to 79.4% through a share-and-cash deal. The November 5 release confirms SEC effectiveness and initiates the proxy vote process, without altering the transaction economics, asset perimeter, project estimates, or financing terms.

The historical record indicates a pattern of operational progress alongside repeated timeline slippage. The SPAC closing target was extended from an initial Q2 2026 goal to the current November 25, 2026, shareholder vote. HyProMag USA’s first production timeline has also shifted, with earlier references to mid-2027 or H2 2027 giving way to Q2 2028 for integrated HPMS commissioning and mid-2028 for Phase 1 completion in the October 2026 study.

Material Impact

Mkango Resources Ltd. (MKA) announced that the Securities and Exchange Commission has declared its Form F-4 effective, a procedural milestone that shifts the merger process from regulatory review to a definitive shareholder vote and redemption window. This development reduces procedural uncertainty and establishes a timeline for the next binary event, as the definitive proxy and prospectus are now being mailed to shareholders.

The announcement does not alter the transaction’s financial structure or asset scope. The consideration, the MKAR asset perimeter, the US$400 million pro forma reference value, the Songwe/Pulawy economics, the Remloy terms, and the HyProMag USA capital plan remain unchanged. The release does not confirm a completed PIPE, Nasdaq approval, or a waiver of the minimum cash condition. The transaction remains subject to CPTK shareholder approval, redemption levels, satisfaction of the minimum cash condition, Nasdaq approval, and other closing conditions.

The market was already aware that the Form F-4 had been amended repeatedly and that SEC effectiveness was the anticipated next step. Consequently, the news aligns with prior expectations rather than introducing a new economic surprise. The primary remaining hurdles are whether CPTK shareholders approve the deal, whether redemptions leave sufficient cash, and whether Nasdaq clears the listing.

For the stock, the news may modestly improve sentiment toward the SPAC, but it does not resolve issues regarding operating cash burn, going-concern language in the financials, the need for project finance, or dilution risk from warrants, options, and SPAC-related conversions. The technical picture remains weak, with the latest price data showing a close on 2026-11-04 at $0.61, prior to this release.

The company’s primary operating platform is the HyProMag short-loop recycling and magnet-manufacturing business, utilizing patented Hydrogen Processing of Magnet Scrap (HPMS) technology licensed from the University of Birmingham. The UK facility at Tyseley Energy Park opened in January 2026, producing approximately 10.1 tonnes of recycled NdFeB alloy powder by the H1 2026 update. The German plant in Pforzheim opened in April 2026, with permits for up to 750 tonnes per annum (tpa). It targets an initial production of approximately 100 tpa, rising to approximately 350 tpa with multiple shifts. Remloy provides medium-loop melting capacity in Bitterfeld, Germany, targeting at least 500 tpa of NdFeB alloy powder. Meanwhile, HyProMag USA is developing the Texas Hub, with initial magnet finishing targeted for H1 2027 and integrated HPMS commissioning targeted for Q2 2028.

Upstream assets include the Songwe Hill mine in Malawi and the proposed Pulawy separation plant in Poland. Both projects are designated as strategic projects under the EU Critical Raw Materials Act. Songwe Hill’s definitive feasibility study (DFS) reports a post-tax net present value (NPV) of approximately US$339 million at a 10% discount rate, an internal rate of return (IRR) of 24%, and initial capital expenditure of approximately US$325.5 million. The project has secured US$4.6 million in reimbursable funding from the US Export-Import Bank’s Development Finance Corporation (DFC) for front-end engineering and design (FEED). The Pulawy separation plant’s pre-feasibility study (PFS) indicates a post-tax NPV of approximately US$779 million, an IRR of approximately 40%, and capital expenditure of approximately US$212 million.

The release notes that upon the grant of the large-scale mining licence, the Government of Malawi may elect to take a free 10% interest in the entity holding that licence. No analyst target ranges, consensus estimates, or coverage data are provided, and no royalty rates are disclosed.
