Itafos Reports Q3 2026 Financial Results and Operational Highlights

Itafos reported a 71% year-over-year decline in third quarter EBITDA, a negative $54.5 million free cash flow, and net debt that tripled to $97 million.

Executive Summary

Itafos Inc. (IFOS) reported third-quarter 2026 results on 4 November 2026 after the close, posting revenue of $161.0M, a 5.4% increase year-over-year. Adjusted EBITDA came in at $14.4M, down from $48.9M in the prior year period, while net income was $2.2M compared to $36.2M. Basic earnings were C$0.02 per share, versus C$0.26 previously, and free cash flow was $(54.5)M against a $(4.8)M outflow last year.

For the first nine months of 2026, revenue reached $447.2M, up 7.7% year-over-year. Adjusted EBITDA was $50.6M, compared to $120.0M in the same period last year. The company reported a net loss of $(1.7)M, contrasting with a $96.9M profit previously, and free cash flow was $(60.5)M versus a $37.3M inflow.

The balance sheet as of 30 September 2026 showed net debt of $97.0M, up from $19.5M at 31 December 2025, with net leverage at 1.1x compared to 0.1x. Liquidity stood at $128.1M, comprising $48.1M in cash and $80.0M in undrawn asset-based lending capacity. Trailing twelve-month Adjusted EBITDA was $89.3M, down from $158.7M at year-end 2025.

On 29 September 2026, the company refinanced its $100.0M term loan, which had $82.5M drawn, into a $140.0M commitment plus a $30.0M letter of credit facility. The asset-based lending facility was also extended, with both instruments maturing on 29 September 2029. The refinancing included a 75 basis point reduction in margin and reduced amortization schedules of 5% in year one and 10% in years two and three.

Capital expenditure for the third quarter was $27.9M, up from $21.6M, bringing the nine-month total to $71.2M from $60.3M. Spending was driven by the planned sulfuric acid plant turnaround, maintenance at the Arraias acidulation and granulation facilities, and development of the MgO Reduction project.

Itafos revised its full-year 2026 guidance, maintaining sales volume targets of 340–355 kt P2O5 and corporate SG&A at $16–20M. Maintenance capital expenditure is now estimated at $25–28M, with the low end raised from $23M. Growth capital expenditure is projected at $63–73M, with the high end cut from $83M. Environmental and asset retirement obligation payments remain unchanged at $25–30M.

The MgO Reduction Project is now expected to become operational during Conda’s 2028 turnaround, a deferral from the previously planned 2027 date. The total cost for the project, from the third quarter of 2025 to completion, is estimated at $95–110M.

Operational output at Conda was 84,267 t P2O5 in the third quarter, down from 91,219 t, following a mechanical outage at the sulfuric acid plant in September 2026. Arraias produced 31,777 t P2O5, up from 29,564 t, and generated 20,396 t of excess sulfuric acid, compared to 25,864 t previously.

In the broader market, MAP NOLA averaged $784/st in the third quarter, a 1% year-over-year increase, and exited the period at $810/st. The Tampa sulfur contract was $705/t in the third quarter, up 127% year-over-year, and is stepping down to $615/t for the fourth quarter. Tampa ammonia exited the third quarter at $555/t, down from $775/t at the end of the second quarter, with the first fourth-quarter contract set at $545/t. Management expects elevated phosphate prices through the first half of 2027 and cites early signs of sulfur price relief.

Management highlighted revenue growth, safety metrics with a TRIFR of 0.53, the credit facility extension, and a "prudent" review of capital expenditures. The company reported operating income of $0.7M for the quarter. Positive net income was supported by a $5.7M corporate gain on debt modification and a tax charge of only $1.6M, compared to a $9.0M charge in the prior year.

Material Impact

Itafos Inc. (IFOS) reported a $66 million increase in net debt in a single quarter, rising from $31.2 million at 30 June 2026 to $97.0 million at 30 September 2026. Cash reserves fell by only $5.2 million, dropping from $53.3 million to $48.1 million, as gross debt increased from $84.0 million to $145.1 million. The quarter’s cash burn was funded by drawing on the upsized term loan.

Operating income collapsed to $748,000 from $34.1 million, following $13.4 million in depreciation. The company reported a net income of $2.2 million, though the quality of this figure was weak. The Conda segment recorded a $4.9 million net loss, with the consolidated profit derived from $5.7 million in corporate finance income. This income consisted of the gain on debt modification from refinancing, offset by a $1.6 million tax charge compared to $9.0 million a year earlier.

Free cash flow stood at $(54.5) million against capital expenditures of $27.9 million. The gap between these figures is attributed to working capital, asset retirement obligations, and other outflows not itemized in the provided text. Itafos defines free cash flow to exclude interest paid, meaning true cash consumption is worse than the headline figure.

Cyclical conditions presented mixed results, with part of the miss being exogenous. Sulfur prices reached $705 per tonne on contract, a 127% year-over-year increase, while Vancouver spot prices exceeded $1,000 per tonne. However, a September sulfuric acid plant outage at Conda represented an operational failure layered on top of market headwinds, and this issue was not separated from the cost story.

Guidance changes were individually small but directionally negative in aggregate. Sustaining spend was revised upward, growth spend was cut, and 2027 guidance was withheld until Q1 2027, with an explicit reference to "the increase in our leverage ratio." The stock had already declined 55% from its March high prior to this report, suggesting that much of the deterioration was anticipated. The pace of balance-sheet deterioration was not fully anticipated, with leverage at 1.1x while trailing EBITDA still included two strong 2025 quarters.

Company Overview

Itafos Inc. (TSX-V: IFOS, OTCQX: ITFS) is a Delaware corporation headquartered in Houston, Texas, that operates as a phosphate and specialty fertilizer producer rather than an explorer. The company generates revenue through two primary operating complexes.

The Conda facility in Idaho, USA, serves as the company’s flagship vertically integrated phosphate operation. It has a capacity of approximately 550 kt/yr of MAP, MAP+, SPA, and merchant grade phosphoric acid, alongside approximately 27 kt/yr of hydrofluorosilicic acid. The site is rail-served by Union Pacific and private rail, with the H1/NDR tipple mechanically complete in 2025 and first ore delivered. According to the July 2023 technical report, the mine life extends to mid-2037. Historically, the operation sourced about 60% of its sulfuric acid from Rio Tinto Kennecott.

In Arraias, Tocantins, Brazil, Itafos operates a vertically integrated phosphate fertilizer facility. The company targets approximately 275 kt/yr of SSP, PAPR, and DAPR following the restart of the beneficiation circuit, which includes 170 kt SSP, 60 kt PAPR, and 45 kt DAPR. The operation also produces approximately 40 kt/yr of excess sulfuric acid from a gross acid capacity of 220 kt/yr. The SSP restart is targeted for 2027.

The company also holds undeveloped and early-stage projects. The Farim project in Guinea-Bissau is a high-grade phosphate rock site with 43.8 Mt of reserves at 30.0% P2O5 and a 1.3 Mt/yr capacity per the 2023 feasibility study. The Santana project in Pará, Brazil, is an early-stage phosphate mine and fertilizer plant with 60.4 Mt of M&I resources at 12.0% P2O5, based on a 2013 feasibility study.

Itafos is led by CEO David Delaney, who has held the position since November 2020 and previously served as COO and EVP of PotashCorp with over 30 years in the fertilizer industry. Matthew O’Neill has served as EVP and CFO since August 2022, bringing prior experience as CFO of Hawkwood Energy. Tim Vedder serves as VP of Operations and GM of Conda, a role he has held since 2014.
