NV Gold Announces Non-Brokered Private Placement
Nv Gold raises $3.7m cad to fund drilling at the nevada slumber project.

NV Gold Corporation (NVX) announced a non-brokered private placement aimed at raising up to $3,700,000 CAD. The company plans to issue up to 3,700,000 Units at a price of $1.00 per Unit. Each Unit consists of one common share and one-half of a common share purchase warrant. The warrants are exercisable at $2.00 per share and will expire two years from the date of issuance.
The proceeds from the offering are designated for an anticipated drill program and general working capital. Completion of the transaction is subject to approval by the TSX Venture Exchange. Insider participation is permitted and will be treated as a related-party transaction under National Instrument 61-101.
NV Gold Corporation (NVX) has secured financing to directly fund the next phase of exploration at its Slumber Gold Project. The capital supports a planned 3,000+ meter diamond core program scheduled for January 2027, as well as ongoing reverse circulation (RC) drilling.
The placement price of $1.00 represents a significant step-up from previous tranches, which were priced at $0.20, $0.30, and $0.40. This valuation reflects the market's positive reception of the October 2026 drill results, which highlighted the Awakening Zone and high-grade oxide intercepts.
The capital injection materially strengthens the balance sheet, extending the cash runway well beyond the immediate exploration cycle and removing near-term liquidity constraints.
NV Gold Corporation (NVX) is an exploration-stage company focused on gold projects in Nevada, USA. Its flagship asset is the 100%-owned Slumber Gold Project, located in Humboldt County. The project features near-surface oxide gold mineralization within a structural corridor. Recent drilling has identified the Awakening Zone and DeLong Ridge, with oxidation persisting to considerable depths (+225m), supporting potential cyanide heap leach amenability.
The company also holds the SW Pipe and Triple T projects. The Triple T lease was terminated due to economic infeasibility.
