NV Gold Announces Non-Brokered Private Placement
Nv Gold raised $1.4m at $0.40 to fund drilling at its Nevada gold projects.

NV Gold Corporation (NVX) announced a non-brokered private placement for gross proceeds of up to $1,400,000 CAD. The offering consists of up to 3,500,000 units priced at $0.40 per unit. Each unit comprises one common share and one-half of a transferable common share purchase warrant. The warrants are exercisable at $0.80 per share and expire two years from issuance.
Proceeds from the transaction are designated for an anticipated drill program and general working capital. The deal includes a 6% finder's fee on portions of the offering and is subject to a statutory hold period of four months and one day. Completion requires TSX Venture Exchange approval and is restricted to non-US investors.
NV Gold Corporation (NVX) announced a financing that serves as a direct follow-up to the August 6, 2026 announcement of a 5,000-meter RC drill program at the Slumber Gold Project. The offering price of $0.40 represents a 33% step-up from the July 2026 placement at $0.30 and a 100% step-up from the January 2026 placement at $0.20.
The capital raise is incremental and expected, and it does not alter the company's exploration-stage status or generate revenue. Dilution is material in percentage terms, at approximately 10.6% on a fully diluted basis including warrants, but is standard for early-stage explorers funding a major drill campaign. No material change to the fundamental risk profile occurs; the company remains a cash-burning exploration entity dependent on continuous equity financing.
NV Gold Corporation (NVX) is a Vancouver-based exploration company focused on Nevada, USA. Its flagship asset is the 100%-owned Slumber Gold Project, which features an extensive near-surface oxide gold system with approximately 1km of strike length. Preliminary metallurgical tests indicate high recoveries, and the project carries an announced exploration target of approximately 450,000 gold ounces as of March 2023.
The company’s portfolio also includes the SW Pipe and Triple T projects. Triple T has demonstrated historical intercepts up to 4.73 g/t Au and recent surface sampling up to 11.7 g/t Au. NV Gold is currently in the exploration stage, with no mineral resources, reserves, or economic studies reported. The company operates in Nevada, a mining-friendly jurisdiction with proximity to operational infrastructure, including the Rochester Ag-Au and Florida Canyon Gold Mines.
