Graphano Energy Provides Update on Proposed Earn-In Transaction with 3D Genesis Technologies
Graphano abandons the 3D Genesis deal due to intellectual property disputes, refocusing its efforts on its Quebec graphite project.

Graphano Energy Ltd. (GEL) announced that the 90-day negotiation period for its proposed earn-in transaction with 3D Genesis Technologies has expired. The company will not proceed with the definitive agreement due to unresolved intellectual property and technology matters surrounding the APIC metal additive manufacturing process.
No common shares were issued and no funds were advanced under the original June 2026 memorandum of understanding. Consequently, Graphano will withdraw its TSX Venture Exchange application for the transaction.
Management remains open to resuming discussions if IP issues are resolved, but will immediately refocus operational efforts on advancing the Black Jack graphite exploration program in Quebec.
Graphano Energy Ltd. (GEL) has allowed the 3D Genesis earn-in agreement to expire. The company stated that the decision reflects prudent risk management, as it avoided committing capital to unproven intellectual property and preserved limited working capital for core graphite exploration. No capital was deployed and no equity was issued in connection with the agreement.
The expiration removes a potential upside catalyst, a development that may negatively impact sentiment. However, the company’s fundamental thesis remains anchored to its Quebec graphite assets, specifically Black Pearl, Black Jack, LAB, and Standard. Graphano Energy noted that the stock is already trading at multi-month lows, suggesting the market has likely priced in the lack of near-term catalysts.
Graphano Energy Ltd. (GEL) is a pre-revenue graphite exploration company focused on properties in Quebec's Laurentides region. Its flagship projects include Black Pearl, which was recently discovered with high-grade drill intercepts up to 11.33% Cg over 8.61m, and Black Jack, a new showing located approximately 1km northwest of Black Pearl. The company also holds the advanced-stage Lac Aux Bouleaux (LAB) and Standard projects.
LAB and Standard are contiguous to Northern Graphite's Lac-des-Iles mine, offering potential processing synergies and a fast-tracked path to production. A NI 43-101 resource estimate for LAB and Standard reported 3.22 million tonnes at 7.0% graphitic carbon. Metallurgical testing has demonstrated greater than 90% graphite recovery at greater than 96% Cg concentrate, supporting the economic viability of near-surface deposits.
