Trilogy Metals Announces Execution of Definitive Agreements for Strategic Equity Investment by the U.S. Department of War

After closing, the Department of War will hold approximately 10% of Trilogy on a non-diluted basis. The Department receives the right to designate one independent director until October 6, 2028, plus observer rights while it holds at least 8,000,000 shares. Trilogy agreed not to incur third-party debt above US$1 billion aggregate until January 1, 2029 without Department of War approval. The release states FOCI review and Congressional authorization milestones are complete, with closing expected in September 2026.
