Trilogy Metals Inc. (TMQ) has closed a $35.6 million strategic equity investment from the U.S. Department of War (DOW). Through two parallel transactions, the DOW acquires an approximately 10% stake in the company, consisting of a direct $17.8 million investment in new units and a $17.8 million secondary purchase of shares from joint venture partner South32.
All proceeds are directed to Ambler Metals LLC, the 50/50 joint venture with South32, to advance exploration and development of the Upper Kobuk Mineral Projects (UKMP). As part of the deal, South32 reduces its ownership from approximately 10.7% to approximately 6.0%. South32 has agreed to hold 6,161,678 shares on behalf of the DOW for 10 years, with a call option exercisable at $0.01 per share.
The DOW gains the right to designate one independent board director until October 2028 and appoint a non-voting board observer. Additionally, the DOW commits to facilitating financing for the 211-mile Ambler Access Project (Ambler Road).
