Cygnus Metals Limited: Implementation of the Scheme

Cygnus holders receive CAML scrip as the company’s delisting process begins under the implemented scheme.

Executive Summary

Cygnus Metals Limited (CYG) has completed the final administrative step of its acquisition by CAML, a transaction that was fully disclosed, voted on, and court-approved. The Scheme of Arrangement under Part 5.1 of the Corporations Act 2001 (Cth) has been implemented, transferring all issued and outstanding Cygnus shares to CAML. The consideration and economics of the deal remain unchanged.

Scheme Shareholders, excluding Sale Facility Participants, were issued 0.06 New CAML Shares per Cygnus share held at the Scheme Record Date of 5:00pm AWST on Monday 19 October 2026. New CAML shares are admitted to trading on AIM under the ticker "CAML." Trading on the Toronto Stock Exchange is anticipated to begin at market open on Tuesday 27 October 2026.

Shares that would otherwise have been issued to Ineligible Foreign Shareholders, Electing Selling Scheme Shareholders, and FRCGW Holders were issued to the Sale Agent. The agent will sell these shares on AIM as soon as reasonably practicable and remit the net proceeds. These holders bear the risk of AIM sale execution and foreign exchange fluctuations and do not receive CAML scrip.

Cygnus is expected to be removed from the ASX at the close of trading on Wednesday 28 October 2026. Delisting on the TSXV is effective at the close of business on Monday 26 October 2026. Cygnus will apply to cease being a reporting issuer in each Canadian province. CAML will file an early warning report under NI 62-104 and NI 62-103, which will be available on SEDAR+. The release was authorized by the Board and signed by David Southam, Executive Chair, and Nicholas Kwong, President & CEO.

The transaction timeline from 2 June 2026 to 27 October 2026 shows a clear sequence with one material delay. On 2 June 2026, the Scheme Implementation Deed was announced, offering 0.06 CAML shares per Cygnus share. This implied an A$0.176 per share value, representing an A$232m equity value and a 60% premium to the A$0.11 last close. Implementation was initially expected in September 2026.

On 4 August 2026, the Draft Scheme Booklet was lodged with ASIC. North Macedonian clearance was satisfied, while Kazakhstan clearance was under review. The scheme meeting was targeted for mid-September, with implementation expected in early October 2026. By 13 August 2026, the first court hearing had taken place, the Scheme Booklet was registered, and Grant Thornton concluded the scheme was fair and reasonable. The timetable set implementation for 5 October 2026.

Shareholders approved the scheme on 18 September 2026, with 98.35% of votes cast and 81.38% of holders voting in favor. However, between 21 and 23 September 2026, Kazakhstan regulatory approval was not received. The application had to be re-submitted electronically on 18 September due to changed administrative procedures at the Ministry of Industry and Construction. The second court hearing was adjourned from 23 September to 14 October, and implementation was moved from 5 October to 27 October.

Kazakhstan approval was received on 13 October 2026, satisfying the last condition precedent. The Supreme Court of Western Australia approved the Scheme on 14 October 2026. The Scheme became effective upon lodgement with ASIC on 15 October 2026, at which point trading was suspended. The transaction was implemented on 27 October 2026.

The event was delivered roughly three weeks later than the original timetable, with the delay attributable to a foreign regulator and repeatedly pre-announced. The delay was self-correcting; CAML’s forecast of "on or before 12 October 2026," given on 21 September, was met on 13 October, one day late against its own stated expectation.

Material Impact

Cygnus Metals Limited (CYG) has moved into administrative proceedings, with the primary developments centering on delisting dates, sale-facility mechanics, the start of TSX trading, and the cessation of its status as a reporting issuer. The company’s equity is effectively no longer available for ownership, as the transaction consideration remains unchanged at 0.06 CAML shares per Cygnus share, exactly as agreed on 2 June 2026 and described in the 13 August 2026 Scheme Booklet. There is no revision to the terms, no cash alternative, and no new operational or financial information, including resource, reserve, study, drilling, production, or cost data, that would alter an assessment of the Chibougamau Project.

The completion risk that was active between 21 September and 13 October, characterized by outstanding Kazakh approval and an adjourned court date, has now been retired. While the removal of this risk is a positive development, the market had largely discounted it, pinning the stock at A$0.17 from 1 September through 13 October. The headline A$0.176 per share implied value was struck on 1 June 2026 using a £1.56 CAML price and a 1:0.53 FX rate. Cygnus traded at A$0.12-0.14 for most of June, July, and August, representing a 20-30% discount to the stated consideration, consistent with completion doubt and fluctuations in CAML's share price. The stock only converged to A$0.17 on 26-28 August 2026, coinciding with CAML's H1 filings and the 27 August drilling release, before closing at A$0.16 on its last trading day. Consequently, the realistic, realisable outcome was roughly a +45% to +55% move from the A$0.11 pre-deal price, rather than the full headline 60% premium, because the consideration is scrip rather than cash and its value floats with CAML.

Holders now own CAML shares rather than Cygnus. There is no current CAML share price, market capitalisation, balance sheet, or analyst coverage available in the provided materials. The only financial context for CAML is from the 2 June 2026 release, which cited FY2025 free cash flow of US$56m, FY2025 dividends of 12p per share, and 2026 guidance of 12,000-13,000t Cu cathode, 18,000-20,000t Zn concentrate, and 26,000-28,000t Pb concentrate.

Residual risks for holders are mechanical rather than fundamental. Sale Facility Participants will receive net AIM proceeds at an unknown clearing price with FX conversion, carrying execution risk until remittance. Canadian holders must hold New CAML shares in a CREST account to trade electronically on AIM, a requirement flagged repeatedly since 1 September, otherwise they face administrative friction. Additionally, TSX trading was only "anticipated" to begin on 27 October, meaning a delay would temporarily strand Canadian holders with an AIM-only line. The three-week delay is not without cost, as it extended the arbitrage period and deferred the receipt of a dividend-paying scrip by three weeks, but it is not a thesis-changing event.

Company Overview

Cygnus Metals Limited, an ASX and TSXV-listed explorer-developer, has become a 100%-owned subsidiary of Central Asia Metals PLC following the release of this information. As a result, Cygnus will cease to be a reporting issuer in Canada. The company is led by Executive Chair David Southam, former managing director of Mincor Resources, and President and CEO Nicholas Kwong.

Central Asia Metals acquired Cygnus for A$232m, primarily to secure its flagship asset, the Chibougamau Copper-Gold Project in Quebec, Canada. The acquisition includes a 900,000 tpa processing facility and tailings storage facility, with a replacement value cited at over $150m. This infrastructure represents the only base-metals processing capability within 250 km. The asset also benefits from existing sealed highways, an airport, regional rail, a 25 kV hydro connection, and the nearby town of Chibougamau, which has a population of approximately 7,500 and an established workforce. This existing infrastructure materially reduces the capital required to reach production.

As of 17 September 2025, the Chibougamau project holds an Indicated Mineral Resource of 6.4 Mt at 3.0% CuEq for 193 kt CuEq, and an Inferred Resource of 8.5 Mt at 3.5% CuEq for 295 kt CuEq. Presentation totals indicate 331 kt of copper, 621 koz of gold, and 3.7 moz of silver. The company reported a 29% increase in contained metal and a 78% increase in Measured and Indicated resources over nine months.

Key deposits include Corner Bay, which contains an Indicated resource of 4.9 Mt at 2.8% CuEq and an Inferred resource of 5.4 Mt at 3.0% CuEq, representing the bulk of the tonnage. Golden Eye holds an Indicated resource of 91 koz at 5.6 g/t AuEq and an Inferred resource of 182 koz at 4.6 g/t AuEq. Cedar Bay contains an Indicated resource of 67 koz at 8.1 g/t AuEq and an Inferred resource of 205 koz at 7.8 g/t AuEq. The project also includes Devlin and the historic Copper Rand mine, which produced 14.9 Mt at 3.9% CuEq for 268 kt of copper and 1.3 moz of gold.

Exploration upside is targeted at Gwillim and Joe Mann. Gwillim is a 50:50 joint venture with Alamos Gold, co-funded and located 12 km from the mill. Historic hits at Gwillim include 7.6 m at 38.1 g/t Au, 15.2 m at 9.4 g/t Au, and 16.4 m at 8.3 g/t Au. Joe Mann, a historic mine located 46 km south, has recorded intersections including 0.7 m at 480.2 g/t Au, 3.8 m at 20.8 g/t Au, and 8.4 m at 6.3 g/t Au. IP geophysics at Joe Mann is targeting analogues to IAMGOLD's Nelligan complex, located approximately 10 km west.

There is a discrepancy regarding the study status of the project. A presentation indicates that a Feasibility Study led by Ausenco is underway. However, the Q1-2026 MD&A states that an updated Scoping Study or PEA is expected in 2026, to be followed by a Feasibility Study. The MD&A also notes that a greater than 30,000 m infill programme at Corner Bay and Devlin is required to support the Feasibility Study. The only completed study referenced is a 2022 PEA by Doré Copper, which predates Cygnus ownership and the 29% resource increase. On the evidence provided, a bankable feasibility study is not imminent, and near-term development language should be interpreted as a multi-year path.

Cygnus also holds other assets in James Bay, Quebec, including Sakami and Beryl Lake (Auclair lithium). These became 100% owned following option exercises completed in June 2026 for 4.05m shares. The company also holds rare earth element and base metals tenements in Western Australia. The MD&A confirms that no substantive exploration occurred on the James Bay lithium or Australian projects in Q1-2026. These assets are considered optionality rather than value drivers, with lithium exposure currently viewed as a distraction.
