Prospector Metals and Lightning Resource Announce Timeline for Closing Transaction

Prospector closes its share distribution and spin-out of Lightning Resource on September 7.

Executive Summary

Prospector Metals Corp. and Lightning Resource Corp., formerly BeMetals, have finalized the closing timeline for their previously announced asset transaction. Under the terms of the deal, Lightning will acquire Prospector’s non-Yukon assets, which include the Savant, TooGood, Whitton, and Devon projects, TooGood Gold shares, a geological database, and $150,000 in cash. In exchange, Prospector will receive 29,400,000 common shares of Lightning.

The transaction is scheduled to close on September 2, 2026. Prospector shareholders will receive a pro-rata special distribution of 0.174977 Lightning shares per Prospector share, with a record date of September 4, 2026, and a payable date of September 10, 2026. Additionally, 8,000,000 subscription receipts held in escrow will convert into 8,000,000 Lightning common shares and warrants for 4,000,000 additional shares at $0.62 until September 2, 2027.

All closing conditions have been satisfied except for final TSX Venture Exchange approval.

Additional targets include Skarn Ridge, which features a wide structural corridor with high-grade intercepts; Rubble North, with surface grab samples up to 109 g/t Au; and intrusion-hosted RIRGS/porphyry targets.
