Prospector finalizes Lightning distribution and pivots fully to its Yukon ML project.

Prospector Metals Corp. completed the return of capital on September 11, 2026, distributing its entire 29,400,000 share holding in Lightning Resource Corp. to Prospector shareholders. The distribution ratio is 0.174977 Lightning shares for every Prospector common share held, with a deemed price of $0.52 per Lightning share. Fractional shares were rounded down with no cash compensation.
Following the distribution, Prospector holds zero (0%) of Lightning’s shares. B2Gold Corp. increased its Lightning stake to approximately 24.44% (16,337,533 shares) by acquiring 5,464,904 shares through the distribution. The transaction, originally announced in April 2026 and closed on September 2, 2026, involved selling Prospector’s non-Yukon assets (Savant, TooGood, Whitton, Devon) to Lightning in exchange for the shares. Prospector management stated there is no present intention to acquire additional Lightning shares, though future corporate transactions remain possible.

Prospector Metals Corp. (PPP) is a pre-revenue exploration company focused on the Mike Lake (ML) Project in the Yukon Territory, Canada. The company’s flagship asset is the ML Project, which covers 10,869 hectares and was discovered in 2024 from Troilus Metals.
The project is currently in the exploration and discovery stage, with no production or revenue generated to date.
