Puma's Subsidiary Murray Brook Minerals Acquires Mount McInnes Project

Puma acquires a critical minerals property in New Brunswick to expand its regional footprint and resource potential.

Executive Summary

Puma Exploration Inc. (PUMA) has acquired a 100% interest in the Mount McInnes Project in Northern New Brunswick through its subsidiary, Murray Brook Minerals (MBM). The initial consideration for the deal includes C$15,000 in cash and 500,000 common shares of MBM. Additional performance-based cash payments totaling up to C$185,000 are contingent on the achievement of specific exploration milestones, including a resource estimate, a preliminary economic assessment (PEA), a feasibility study, and commercial production.

The vendor retains a 2% Net Smelter Return (NSR) royalty on the property, with an option for MBM to purchase 1% of that royalty for $1 million. The 11,837-hectare property is prospective for polymetallic critical minerals, including silver, gold, lead, zinc, copper, indium, bismuth, tungsten, molybdenum, and tin. It is located approximately 50 km from Puma's Williams Brook Project. Historic grab samples from the site have reported high-grade values, including up to 314 g/t Ag, 15.30% Zn, and 4.00% Cu. The acquisition supports MBM's ongoing efforts toward a potential listing on the TSXV.

Material Impact

Puma Exploration Inc. (PUMA) has entered into a transaction that requires an initial cash outlay of only C$15,000, with milestone payments capped at C$185,000. The deal is financially immaterial to the company but strategically advances the DEAR (Discovery, Exploration, Acquisition, Royalties) strategy by expanding MBM's critical minerals portfolio ahead of a planned spin-off or listing.

The addition of a polymetallic, critical-metals-focused asset diversifies MBM's pipeline beyond its existing Legacy Cu-Ag project, potentially enhancing valuation metrics for a future public listing. This development aligns fully with previous corporate objectives outlined in the February 2026 exploration plans and the January 2026 spin-off announcements, representing an expected, incremental step in the company's broader strategy.
