Teck Announces Commencement of Consent Solicitation
Teck aligns debt ahead of its merger with Anglo American, prioritizing execution certainty over operational surprises.

Teck Resources Limited has initiated consent solicitations for six series of outstanding notes to amend covenants and events of default. These amendments aim to align Teck’s debt indenture with Anglo American’s in preparation for the pending merger of equals. The affected notes represent approximately $1.03 billion CAD in aggregate principal across maturities ranging from 2030 to 2043.
Holders providing valid consents will receive a cash fee of $1.00 per $1,000 principal amount. The solicitation expires on August 11, 2026, with a record date of July 31, 2026. Consents must be obtained from holders of at least a majority in principal amount of each series. The process is independent of the merger timeline; neither the consent fees nor the merger is conditioned on the other.
Anglo Teck, the merged entity, may elect to provide a full guarantee of the affected notes post-closing, shifting reporting obligations to UK DTR/SEC rules during the guarantee period.
Teck Resources Limited (TECK) is proceeding with a standard liability management consent solicitation ahead of its merger of equals. The move is designed to remove covenant misalignment and reduce refinancing and execution risk post-closing. The associated fee of $1.00 per $1,000 is immaterial relative to Teck’s approximately $10.3 billion CAD in liquidity and $1.03 billion CAD in affected notes.
The market has already priced in the merger progression and strong Q2 operational results. This release does not alter the fundamental thesis or valuation drivers.
