Rio2 Announces Participation in Royal Road's Brokered Life Offering
Rio2 maintains its core assets with a $2 million stake, keeping its primary exploration projects in focus.

Rio2 Limited has completed the acquisition of 10,000,000 ordinary shares in Royal Road Minerals Limited for $2.0 million, priced at $0.20 per share. The transaction raises Rio2’s beneficial ownership in Royal Road from approximately 15% to roughly 16.33% on a non-diluted basis.
Executed under a September 2025 Investor Rights Agreement, the deal allows Rio2 to maintain pro rata ownership or acquire up to a 15% interest. The shares are classified as an investment for optionality in highly prospective exploration assets, specifically Royal Road's Kalzas tungsten project in the Yukon. An Early Warning Report was filed under National Instrument 62-103.
Rio2 Limited (RIO) announced a $2.0 million expenditure, which represents approximately 0.13% of its Q1 2026 cash balance of $93.1 million. The amount is immaterial to the company’s consolidated revenue of $65.9 million or net income of $22.3 million.
The move constitutes a contractual obligation and right exercise to maintain a strategic optionality stake in a junior explorer. It does not alter Rio2’s production profile, cost structure, or balance sheet health.
Market reaction has shown price consolidation between $2.50 and $2.70 over the past month, reflecting the lack of fundamental impact from this incremental financing participation.
Rio2 Limited is a Latin American producer transitioning from a gold developer to a diversified gold and copper miner. Its flagship assets include the 100%-owned Fenix Gold Mine in Chile's Atacama region, which operates as an oxide heap leach, and the 99.1%-owned Condestable Mine in Peru, an underground copper-gold-silver operation.
The company targets approximately 100 koz Au/year from Fenix during Phase 1 and roughly 27 kt CuEq/year from Condestable, with significant upside potential from Phase 2 expansions. Strategic optionality includes a ~16.33% stake in Royal Road Minerals, which is focused on the Kalzas tungsten project in the Yukon.
