1911 GOLD ANNOUNCES FILING OF FINAL SHORT FORM PROSPECTUS IN CONNECTION WITH $31 MILLION BOUGHT DEAL FINANCING

1911 Gold Corporation (AUMB) has filed its final short form prospectus for a $31 million bought deal public offering, following previous announcements made in June 2026. The transaction is managed by Haywood Securities Inc., which serves as the lead underwriter and sole bookrunner, supported by a syndicate that includes BMO Nesbitt Burns Inc., Roth Canada, Inc., and Velocity Trade Capital Ltd.

The offering consists of multiple tranches of units, including standard units, Canadian Development Expenses (CDE) units, and Canadian Exploration Expenses (CEE) units, each with varying prices. The underwriters have been granted an option to purchase up to an additional 15% of the offering in any combination of unit types, which is exercisable within 30 days of closing.

The specific unit structures and pricing details are as follows:

  • Standard Units: 7,812,500 units issued at $0.64 per unit.
  • Canadian Development Expenses (CDE) Units: 12,610,400 units issued at $0.793 per unit.
  • Tranche 1 CEE Units: Canadian exploration expenses flow-through units priced at $0.864 per unit.
  • Tranche 2 CEE Units: Canadian exploration expenses flow-through units priced at $1.011 per unit.
  • Tranche 3 CEE Units: Canadian exploration expenses flow-through units priced at $0.752 per unit.
  • Additional Tranches: The offering also includes additional CDE Units at $0.793 and Standard Units at $0.64 as part of the combination tranches.

The prospectus has been filed with securities commissions in all Canadian provinces except Québec. The transaction is subject to final approval from the TSX Venture Exchange and is expected to close on or about July 29, 2026. The offering is being made in Canada, excluding Quebec, while US and international sales are conducted via private placement exemptions.
