VIZSLA COPPER ANNOUNCES EFFECTIVE DATE FOR CONSOLIDATION AND UPSIZE OF NON-BROKERED PRIVATE PLACEMENT TO $44 MILLION

None

Executive Summary

On December 1, 2025, Vizsla Copper announced the effective date for its previously announced 10-for-1 share consolidation, which will be December 4, 2025. Following the consolidation, the company will have approximately 34,415,196 shares outstanding.

More significantly, the company announced a massive upsize to its non-brokered private placement, originally announced on November 13 for up to $25 million. The financing has been increased to approximately $44 million due to strong investor demand. The financing consists of: - $25 million of Listed Issuer Financing Exemption ("LIFE") shares at a post-consolidation price of $1.08 per share. - $8.2 million of common shares at $1.08 per share. - $11.0 million of flow-through ("FT") shares at $1.24 per share.

The proceeds will be used to fund the acquisition and exploration of the Palmer Project, continued exploration on its BC properties (primarily Poplar), and for general working capital.

Material Impact

This news is a game-changer for Vizsla Copper. The upsize of the financing from a maximum of $25 million to $44 million is a clear indicator of overwhelming market support for the company's acquisition of the Palmer Project.

  • Financial Transformation: This financing completely transforms the company's balance sheet. The financial statements as of July 31, 2025, showed only C$1.89 million in cash. The company was on a path to require further dilutive financings just to continue its BC exploration. This C$44 million raise removes all short-to-medium term financing risk. It provides ample capital to complete the C$15 million Palmer acquisition, fund the aggressive exploration required on a resource-stage asset, and continue advancing the promising Thira discovery at the Poplar project.
  • Strategic Validation: The ability to raise this quantum of capital validates the strategic shift towards acquiring an advanced-stage, high-grade asset like Palmer. The market has endorsed management's "transformational" view of the acquisition.
  • De-risking: The company is now fully funded to execute its new, ambitious business plan. Previously, its primary risk was a lack of capital to advance its grassroots discoveries. That risk has been eliminated.
  • Consolidation Context: The 10:1 share consolidation is a necessary mechanical step. It brings the share price to a more attractive level for institutional investors (from ~$0.14 to ~$1.40) and was required to facilitate the financing at the $1.08 level.

Tracing the company's progress, Vizsla Copper successfully made a new discovery at Thira (Poplar) in mid-2025. While this was significant, the company pivoted on November 13 to acquire the much more advanced Palmer project. The risk was whether they could fund such an ambitious acquisition. This news confirms they have done so, and with a significant treasury to spare. This is the most positive possible outcome following the acquisition announcement.

Company Overview

Vizsla Copper Corp. is a Canadian junior mineral exploration company. Historically, its focus was on a portfolio of copper and gold projects in British Columbia, including Woodjam, Copperview, and Poplar.

The company's flagship initiative was advancing the Poplar Project, where it made a significant new copper-molybdenum porphyry discovery, the "Thira" target, in July 2025.

However, with the November 2025 announcement, the company's flagship project is now the Palmer Project in Alaska, which it is in the process of acquiring. Palmer is an advanced-stage, high-grade volcanogenic massive sulphide (VMS) project with a defined mineral resource, containing critical minerals such as copper and zinc, along with gold, silver, and barite.
