Entree Resources Announces Third Quarter 2026 Results

Entree reports a widened loss, with Panel 1 reclassified as the final panel and its tax certificate remaining blocked.

Executive Summary

Entree Resources Ltd. (ETG) released its Q3 2026 interim results on November 5, 2026, covering the quarter ended September 30, 2026. The filing was bundled with confirmation of the previously announced C$36.2 million private placement, a CEO transition already flagged in Q2, and a set of regulatory and operational updates. The following details represent new information not contained in the October 20 and November 4 releases.

Financial results for the third quarter of 2026 showed an operating loss of $1.0 million, compared to $0.6 million in Q3 2025. The nine-month operating loss totaled $2.3 million, versus $1.9 million for the same period last year. Operating cash outflow before working capital was $0.6 million for Q3 and $1.7 million for the nine months, compared to $0.9 million and $1.9 million, respectively. Cash on hand at September 30, 2026, stood at $2.5 million, with working capital also at $2.5 million. Cash reserves have declined from $4.3 million at December 31, 2025, to $3.1 million at June 30, and finally to $2.5 million at September 30.

A significant disclosure regarding the mine plan sequencing was included in the report. As resolution of the transfer of the Entrée/Oyu Tolgoi JV licence for Panel 1 remains in progress, OTLLC continues to advance Panels 0 and 2 North, followed by Panel 2 South. Panel 1 on the Oyu Tolgoi mining licence and the Shivee Tolgoi mining licence is expected to be the final panel brought into production. Entrée's entire economic interest sits in Panel 1 / HNE. Management has formally placed its own ore body at the back of the mine plan, behind Panel 2 South, with the caveat that "mine plan options... assessed and optimized as appropriate." Prior releases in Q1, Q2 2026, and December 2025 described Panel 1 development as "paused pending licence transfer" but did not state that Panel 1 would be mined last.

Regarding the Mongolian tax authority (MTA) status, the MTA advised Entrée LLC during Q3 2026 that valuation support documents are "incomplete." Consequently, tax payment certificates cannot be issued, and without those certificates, the Mineral Resources and Petroleum Authority of Mongolia cannot register the licence transfer. The 2026 resubmission on June 18 and the formal complaint have not resolved the issue. The gate that has blocked Lift 1 Panel 1 since 2024 remains shut.

On the government front, effective October 2, 2026, the Minister of Justice and Internal Affairs replaced the Minister of Industry and Mineral Resources as head of the working group. The March 25, 2026 non-binding proposal, which suggested a royalty on gross sales value in lieu of a 34% State equity stake, has still received "no formal response." Seven-plus months have passed without an answer, and a new chairman must now be re-briefed. The release describes the expected timing of talks only as "shortly."

Exploration activities included two holes at Ulaan Khud South and two at Southwest Heruga. None intersected significant copper in the target units. One Ulaan Khud South hole was terminated early due to drilling conditions, leaving the deeper northern extension untested. Final assays for all holes completed by October 15, 2026, are pending.

A positive operational read-through from Rio Tinto on October 14, 2026, noted that Oyu Tolgoi copper production is up 29% year-to-date. Production is running at approximately 450kt annualized in Q3, with a ramp-up on track for an average of ~500kt/yr from 2028–2036. This data reflects OTLLC-level performance on the 100% OTLLC mining licence; it is not Entrée's asset and generates no cash for Entrée until Panel 1 is transferred and mined.

Technical work streams include an updated Hugo North Lifts 1 and 2 resource model completed by OTLLC in H1 2026. The updated Lift 1 underground mine plan and production schedule are now expected in "H2 2026," having slipped once from earlier language. Entrée's updated Technical Report is targeted for Q1 2027, which remains unchanged.

In corporate news, Chris Adams was appointed President and CEO following Stephen Scott's retirement. Richard Williams (Q2) and Sarah Strunk (Q3) were appointed as independent directors. No new information was provided beyond the disclosures in the Q2 and September 28 shareholder letters.

Material Impact

Entree Resources Ltd. (ETG) faces significant valuation headwinds following a disclosure that Panel 1 of its Hugo North Extension project is sequenced as the final panel to be mined. The company holds a 20%/30% carried interest in the Entrée/Oyu Tolgoi joint venture, which encompasses the Hugo North Extension and Heruga material within the Shivee Tolgoi and Javkhlant licenses. As a pre-revenue entity with no producing assets, Entree’s sole source of future cash flow is derived from this interest. The 2021 Technical Report, which estimated an $185 million net present value (NPV) at a 5% discount rate for Lift 1 on a 100% basis at $3.25/lb copper, assumes a 17-year Lift 1 conceptual mine life. This valuation is contingent on the development of Panel 1. However, the mine plan, which already extends to 2036 at a production rate of approximately 500kt/yr, now positions Panel 1 after Panel 2 South. This sequencing pushes the start of Entree’s cash flow to the end of the extraction sequence, creating a severe discounting effect on the company’s $570 million market capitalization.

Compounding the sequencing issue is the lack of updated financial modeling. The 2021 Technical Report relies on stale metal prices of $3.25/lb copper and is not scheduled for refresh until Q1 2027. Consequently, investors currently lack a company-published NPV that reflects current metal prices or the new panel sequencing, creating an information vacuum.

Regulatory hurdles also persist. A recent confirmation from the Ministry of Taxation and Customs (MTA) regarding a setback in the Licence Transfer Agreement (MTA) process highlights a recurring pattern of delays rather than a one-off event. The chronology of events includes: * Licence Transfer Agreements lodged and a formal complaint filed on May 19, 2025. * MTA unable to confirm status on July 3, 2025. * Administrative court claim filed on August 1, 2025, with a hearing scheduled for March 2026. * Valuation resubmitted on June 18, 2026. * MTA rejection on June 26, 2026, followed by a formal complaint. * In Q3 2026, the MTA again called the documents incomplete.

Notably, the administrative court proceeding highlighted by management in December 2025 and March 2026 is not mentioned in the latest release, with no outcome or update provided. Two years into the process, no tax payment certificate has been issued. Entree continues to capitalize transfer taxes, recording $1.4 million in Q2 2026, against an asset where it does not yet control the timing of transfer.

Financially, the company’s operating losses have widened. The Q3 operating loss increased to $1.0 million from $0.6 million, bringing the nine-month figure to $2.3 million from $1.9 million. Cash reserves decreased to $2.5 million prior to a recent capital placement. While these absolute numbers are immaterial relative to the company’s market cap, the negative trend coincides with the further delay of the revenue trigger.

On the positive side, Entree closed a C$36.2 million placement on November 4, 2026, which was oversubscribed. The units were priced at C$2.90, accompanied by a C$3.95 warrant, and the transaction was led by an affiliate of the Tether group. This placement resolves near-term funding questions and provides capital for the Q1 2027 Technical Report. However, the announcement on October 20 was accompanied by an approximately 11% one-day share price decline, moving from $3.03 to $2.69. The stock currently trades at $2.58, which is approximately 11% below the price at which the new strategic investor and insiders purchased shares, leaving the marginal new capital underwater. Additionally, exploration results from two regional targets were negative. While such results are routine for early-stage porphyry hunting, the combination with the sequencing disclosure removes one of the few near-term optionality catalysts.

Company Overview

Entree Resources Ltd. (ETG) is a pre-revenue Canadian mining company holding a carried participating interest in the Entrée/Oyu Tolgoi joint venture property in Mongolia. The asset comprises the Shivee Tolgoi and Javkhlant mining licences, located within the boundaries of the Oyu Tolgoi Strategic Deposit. Entree holds a 20% carried interest in mineralization below the 560-metre elevation, which includes the Hugo North Extension and Heruga, and a 30% carried interest above that elevation. OTLLC, a partnership comprising 66% Rio Tinto and 34% Erdenes Oyu Tolgoi, serves as the manager and holds the remaining 80% or 70% interest depending on depth. OTLLC retains the exclusive right under the OTIA and the 2008 Joint Venture Agreement to hold the licences, build and operate infrastructure, and mine and process.

The company’s flagship project is the Hugo North Extension (HNE), the northern continuation of the Hugo North orebody mined by OTLLC on its 100% licence. According to the supplied investor presentation, HNE Lift 1 carries a 2021 probable reserve of 40Mt at 1.50% Cu, 0.53 g/t Au and 3.6 g/t Ag, equating to 1,340 Mlb Cu, 676 koz Au, and 4,613 koz Ag on a 100% basis. The project is projected to generate 2021 pre-tax cash flow of $449M, with an NPV(5%) of $185M and an NPV(8%) of $131M. Life-of-mine C1 costs are estimated at $0.79/lb and AISC at $1.26/lb, based on $3.25/lb copper and $1,591/oz gold. Lift 2 is at the PEA level, indicating 120Mt at 1.70% Cu and inferring 167Mt at 1.02% Cu, with an NPV(5%) of $541M. Heruga represents a large, low-grade inferred resource of 1,400Mt at 0.41% Cu, 0.40 g/t Au, and 120 ppm Mo, held as long-term optionality. The conceptual Lift 1 mine life is 17 years, consisting of four years of development and 13 years of block-cave production.

Development status shows that OTLLC has completed Lift 1 Panel 0 and is advancing Panel 2 North and then Panel 2 South. Entree's Panel 1 lateral development on the Shivee Tolgoi licence is paused pending licence transfer, and this release places Panel 1 as the expected final panel. The company currently generates no revenue, production, or operating cash flow, relying on its own carry loans to fund its share of costs.
