Big Bear Gold Corp. Signs Assignment and Assumption of Property Option Agreement to Acquire 100% Optioned Interest in Peerless Property
Big Bear’s new high-grade Peerless option expands its British Columbia gold footprint despite current cash constraints.

Big Bear Gold Corp. (TSXV: BEAR) has signed an assignment and assumption agreement to acquire Bathurst Metals Corp.'s 100% optioned interest in the Peerless Property. The property comprises 5,500.43 hectares in the Bridge River Mining Camp, British Columbia.
Immediate consideration for the transaction requires issuing 3,555,000 common shares to Bathurst Metals. Future earn-in obligations to secure the 100% interest include $350,000 in cash, $2,000,000 in exploration expenditures, and 5,500,000 common shares, paid across five milestones between June 2027 and September 2029. The property carries a 2.5% Net Smelter Returns (NSR) royalty, with a buy-back option for 1.0% NSR at $1,000,000 upon commercial production. All issued shares carry a 4-month and 1-day hold period.
The property is drill-ready with an active permit, featuring five identified gold zones and historical high-grade intercepts, including 4.52m at 28.93 g/t Au from 1987 Manhattan Minerals drilling. Qualified Person Lorne Warner approved the technical content. Closing is subject to 90-day due diligence and TSX Venture Exchange approval.
Big Bear Gold Corp. (BEAR) has acquired significant land area and historical high-grade targets, a move that expands its portfolio and aligns with typical junior mining M&A patterns. The transaction requires the immediate issuance of 3.555 million shares, representing approximately 14% of the current float, with up to 5.5 million additional shares to be issued over three years, adding roughly 22% incremental dilution.
The company faces substantial future capital requirements, including $350,000 in cash and $2,000,000 in expenditures over the earn-in period, alongside ongoing operational costs. Given Big Bear Gold’s near-zero cash position and negative equity, the announcement does not constitute a financial turnaround but rather an incremental exploration expansion. The historical drilling data originates from 1987 and remains unverified by modern standards, with no new drilling or resource estimates attached to the announcement.
Big Bear Gold Corp. is a TSX Venture-listed exploration company focused on gold projects in British Columbia. Its flagship WILL Gold Project comprises 1,326.05 hectares following the July 2026 acquisition of the MARYMAC SE and WILL claims. The project is situated in a highly prospective geological corridor with historical high-grade intercepts and structural features favorable for orogenic gold mineralization.
The company also holds the Peerless Property, a 5,500.43-hectare asset acquired via option agreement in the same Bridge River Mining Camp. The property features five identified gold zones and drill-ready infrastructure. Management is led by President & CEO Peter Laipnieks, who has been actively involved in debt settlements and land acquisitions to consolidate the company's footprint.
