Falcon Energy Materials PLC Closes Upsized C$34.24 Million Private Placement to Fund Strategic Acquisition
Falcon closes a $34.2m placement while advancing its china stake and morocco plant.

Falcon Energy Materials PLC has closed an upsized non-brokered private placement, raising C$34.24 million through the issuance of 34,240,000 units priced at C$1.00 per unit. The transaction was initially announced on September 9, 2026, with a target of C$30 million, but was increased to C$34.24 million on September 26 following investor demand.
The company stated that proceeds will be allocated to fund a potential strategic minority acquisition of an existing anode material producer in China, based on a term sheet dated August 6, 2026. Additional funds will support the continued development of the Morocco CSPG pilot and commercial plant, as well as general working capital.
Insider AOF Trading LLC acquired 15,000,000 units for C$15 million, increasing its ownership to approximately 11.37% on a non-diluted basis and 13.25% on a fully diluted basis. This acquisition triggered early warning disclosures.
Each unit consists of one ordinary share and one-half of a non-transferable share purchase purchase warrant. Each full warrant allows the purchase of one share at C$1.29 per share for a period of 24 months. The securities are subject to a statutory four-month hold period until January 24, 2027, and require final approval from the TSX Venture Exchange.
Falcon Energy Materials PLC (FLCN) has closed a C$34.24 million financing, a move that confirms institutional and insider support for its dual-track strategy involving plant development in Morocco and the acquisition of an anode stake in China. The financing was upsized to C$34.24 million, providing a slightly larger cash buffer than initially planned to support near-term working capital.
The closing follows September announcements regarding the financing terms and the intended use of proceeds, making the completion of the deal non-surprising to the market. While the capital provides funds to pursue the China acquisition, the initiative remains in the term sheet stage with no definitive agreement or guaranteed closing. Consequently, the financing does not de-risk this specific initiative.
The transaction involved the issuance of 34.24 million new shares, increasing the share count by approximately 20%. Combined with existing warrant overhang, future equity dilution remains a persistent risk for the company. The news extends Falcon Energy Materials PLC’s cash runway but does not alter the fundamental execution risks or the timeline for the Morocco commercial plant.
Falcon Energy Materials PLC is a pre-revenue developer focused on producing high-purity Coated Spheronized Purified Graphite (CSPG) for global battery anode markets. Its flagship project is a 26,000 tonnes per annum (tpa) commercial-scale CSPG Anode Plant located in Jorf Lasfar, Morocco. The facility leverages Morocco's strategic location, free-trade agreements with the U.S. and EU, and renewable energy incentives.
The company successfully opened its pilot plant near Casablanca in July 2026, transitioning from procurement to operational execution. The pilot plant is producing qualification-scale CSPG samples for OEM and battery producer testing. A technical-economic study from November 2025 projects an initial capital cost of US$86 million, all-in operating costs of US$3,168 per tonne, and a target production of 26 ktpa CSPG plus 19 ktpa fines. First commercial production is targeted for H2 2027.
The company is also pursuing a strategic minority stake in an existing anode material producer in China to derisk its own anode plant development and secure supply chain synergies.
