Trident Resources Corp. has closed its option agreement with Apogee Minerals Ltd. for the Knife Lake Copper Project in Saskatchewan. Apogee has earned a 100% interest in the property by satisfying cash, share issuance, and exploration expenditure commitments. The total consideration includes $400,000 in cash, 7,400,000 shares issued on closing, and additional shares valued at $700,000 over the next two years.
Apogee must commit to $1,000,000 in exploration expenditures, payable as $500,000 at each anniversary. Trident’s ownership in Apogee is capped below 10% to avoid reporting insider status, with any excess consideration payable in cash. The property remains subject to a 2.5% NSR royalty to Summit Royalties Ltd. and a 1.5% NSR royalty to a private individual. All issued securities carry a four-month and one-day statutory hold period.
Separately, Trident entered a 30-day marketing services agreement with Freedom Financial Research LLC for US$150,000, with no securities issued for this service.
