Osisko secures C$100 million in spin-out financing for its critical minerals portfolio in New Brunswick.

Osisko Critical Minerals Corporation (OCMC), a wholly-owned subsidiary of Osisko Metals Incorporated (OM), announced a best-efforts private placement of special warrants to raise gross proceeds of C$100 million. Canaccord Genuity is acting as the lead agent and sole bookrunner for the offering. The warrants are priced at $0.25 per unit, with proceeds allocated to the exploration and development of OCMC's New Brunswick properties, including the NB Copper Project and Bathurst Mining Camp holdings, as well as general working capital.
Each special warrant converts into one common share plus one-half of a common share purchase warrant exercisable at $0.35 per share for a 24-month period. Closing is expected on or about November 17, 2026, contingent on prospectus qualification and TSX Venture Exchange listing approval. This announcement follows the September 15, 2026 spin-out of the New Brunswick assets into OCMC.

Osisko Metals Incorporated (OM) is a Canadian copper development company focused on the Gaspé Copper Project in Eastern Québec.
