Core Silver Completes Acquisition of Arcus Development Group
Arcus Development closed its deal with Core Silver, unlocking the Touleary VMS discovery in Yukon’s White Gold District.

Core Silver Corp. has officially completed its acquisition of Arcus Development Group Inc. through a court-approved plan of arrangement. As a result of the transaction, Arcus is now a wholly-owned subsidiary and will be delisted from the TSX Venture Exchange.
Former Arcus shareholders received one Core Silver share for each Arcus share, resulting in them holding approximately 39.2% of the combined entity's 54,141,705 shares. Darryl Jones, the former Interim CEO of Arcus, joins the Core Silver Board of Directors. The transaction follows months of shareholder approvals, definitive agreements, and the commencement of a 3,000-meter drilling program at the Touleary Project.
Arcus Development Group Inc. (ADG) has completed the acquisition, marking the conclusion of a months-long process that began in April 2026. The transaction transforms Core Silver from a single-asset silver explorer focused on the Blue Property into a diversified junior with exposure to the Tintina Gold Belt and the White Gold District. The market had already priced in the 1:1 share exchange and the addition of the Touleary VMS discovery.
Financially, the combined entity holds an estimated $6.5 million CAD in cash, providing a runway for the Touleary exploration program and corporate operations. The addition of Darryl Jones to the board brings direct project management experience for Touleary, aligning leadership with the exploration phase. Following shareholder approval and drilling mobilization, the milestone is viewed as an incremental market event.
Core Silver Corp. is a Canadian exploration company focused on precious and base metals. Its flagship Touleary VMS Project is located approximately 115 km south of Dawson City in the Yukon's White Gold District. The company has identified approximately 3.5 km of untested strike length and multiple high-priority targets. The acquisition positions Core Silver to capitalize on the emerging Tintina Gold Belt and benefits from the proposed Northern Access Route infrastructure, which could significantly lower exploration and development costs.
