Magna Terra Announces Upsize of Private Placement to $3.75 Million
Magna Terra upsized its $3.75 million financing to secure an exploration runway for its Atlantic assets.

Magna Terra Minerals Inc. (MTT) has increased the size of its previously announced private placement from $2.0 million to $3.75 million, citing significant investor interest. The fully subscribed offering includes up to 8,421,056 premium flow-through common shares priced at $0.2375 per share, alongside up to 10,000,000 common shares priced at $0.175 per share.
Proceeds from the flow-through shares will be allocated to Canadian exploration expenses at the Humber and Shellbird projects in Newfoundland, as well as the Prospect Or's Dream, Rocky Brook, and Cape Spencer projects in New Brunswick. Funds raised from the common shares are designated for general working capital.
Largest shareholder Michael Gentile, who holds a 17% ownership stake, is participating in the offering. The transaction remains subject to approval by the TSX Venture Exchange and carries a hold period of four months and one day.
Magna Terra Minerals Inc. (MTT) has increased its financing from $2.0 million to $3.75 million, a move that aligns with prior announcements made on September 1, 2026, and reflects strong demand for the company's exploration program. This capital raise extends the company's cash runway, directly addressing the going concern warning noted in the Q3-2026 MD&A and providing liquidity for grassroots exploration.
The financing is routine in nature, following the initial announcement without introducing new strategic partnerships, M&A activity, or unexpected operational milestones. Insider participation by a major shareholder provides a vote of confidence, though it does not quantify a new strategic investment or change the company's fundamental exploration-stage status. The transaction is dilutive, adding approximately 18.4 million shares to the ~108.4 million outstanding, representing roughly a 17% increase in the share count.
Magna Terra Minerals Inc. (MTT) is an exploration-stage mineral company focused on district-scale projects in Newfoundland, New Brunswick, and Argentina. Its flagship assets include the Humber Copper-Cobalt Project, covering 49,925 hectares, and the Rocky Brook Project, comprising 34,202 hectares, both located in the Bathurst Mining Camp.
The company has optioned or acquired multiple properties, including Shellbird, Prospect Or's Dream, Cape Spencer, and Great Northern/Viking through Gold Hunter. In Argentina, the Luna Roja project is optioned to Lunex Metals, while other assets such as Boleadora remain available for monetization. Magna Terra generates revenue primarily through option payments from partners Gold Hunter and Lunex Metals rather than through mineral sales.
