Colibri Resource Corporation Announces Grant of Stock Options and Corporate Update
Colibri finalizes asset swaps and option grants while cash remains tight despite Pilar monetization.

Colibri Resource Corporation has submitted final documentation to the TSX Venture Exchange for approval to acquire Silver Spruce Resources Inc.'s interest in Yaque Minerals Inc., a move that increases Colibri's effective ownership in the Diamante Gold & Silver Project to 60%. Concurrently, the company is disposing of its 50% interest in the Jackie Gold & Silver Project to Silver Spruce Resources Inc. Both transactions remain pending final TSXV approval.
In addition to the corporate transactions, Colibri granted 2,750,000 stock options to directors, officers, employees, and consultants at an exercise price of $0.10 per share. The vesting terms include 2,250,000 options exercisable over five years and 500,000 options exercisable over two years.
Colibri Resource Corporation (CBI) announced the Diamante/Jackie restructuring in June 2026, and the deal is now in the final administrative approval stage. The transaction is non-cash, involving debt forgiveness for Diamante and a share/royalty swap for Jackie, and does not alter the company's immediate liquidity position.
The company also granted stock options at $0.10, a price near the current market price of $0.11. Full exercise of these options would add approximately 12% to the share count, though a multi-year vesting schedule mitigates near-term dilution.
Colibri Resource Corporation is an exploration-stage gold and silver company focused on operations in Sonora, Mexico. Its flagship asset is the EP Gold Project, a 100%-owned property comprising 4,766 hectares located in the Caborca Gold Belt, adjacent to Fresnillo’s concessions. Recent drilling at the Plomo claims identified near-surface gold intercepts, including 7.5m @ 2.92 g/t Au.
The company also holds interests in other assets, including the Diamante Gold & Silver Project, which it effectively controls with a 60% interest following a recent transaction, and the Pilar Gold & Silver Project, where a 49% interest was sold to Tocvan for C$3.6M plus a 1% NSR. The Jackie Project is currently being divested. Management includes CEO Ian McGavney, Chairman Ron Goguen, and Director/Qualified Person Mark Smethurst.
