Cerrado Gold Announces $10 Million Strategic Private Placement with Eric Sprott

Cerrado Gold Inc. (CERT) announced a non-brokered private placement with Eric Sprott for gross proceeds of C$10 million. The placement consists of 4,000,000 units priced at C$2.50 per unit, with each unit comprising one common share and one-half of one common share purchase warrant. Each whole warrant carries an exercise price of C$3.35 per share and has a 24-month term from closing.
Closing is expected on or about September 4, 2026, subject to TSX Venture Exchange approval. The securities are subject to a statutory four-month and one-day hold period. Net proceeds are designated for working capital and general corporate purposes. CEO Mark Brennan stated that the company is pleased to welcome Mr. Sprott as a strategic investor. The release contains no new production, cost, reserve, or project-development data.
Sprott, already a shareholder of Cerrado Gold Inc. after receiving 3,000,000 common shares as partial consideration in the July 2026 stream repurchase, participated in the company’s C$10 million placement. The transaction represents approximately 3% of the company’s market capitalization, which ranges from roughly C$344 million to C$353 million.
The units were priced at C$2.50, essentially in line with the August 28, 2026 close of C$2.48, though the inclusion of half-warrants lowers the effective cost of capital. The deal adds 4,000,000 shares and up to 2,000,000 warrants, resulting in mild dilution. Proceeds are designated for working capital and general corporate purposes, indicating a focus on near-term liquidity management rather than a specific growth catalyst.
Because Sprott was already involved through Sprott Streaming and became a shareholder in July, the market may view this transaction as an extension of the existing relationship.
Cerrado Gold Inc. (CERT) is a Toronto-based gold production, development, and exploration company. Its producing asset is the 100% owned Minera Don Nicolás and Las Calandrias mine in Santa Cruz Province, Argentina. Cerrado Gold has issued 2026 production guidance for Minera Don Nicolás of 50,000 to 60,000 GEO, with second-half weighting expected as underground feed increases. The company also holds regional exploration ground around Calandrias, including Falcon and Calandrias II.
