The offering consists of up to 21,875,000 units priced at $0.08 per unit. Each unit includes one common share and one non-transferable warrant. The warrants carry an exercise price of $0.12 per share and are exercisable for 36 months from closing.
Finders' fees include $8,225 in cash and 102,813 non-transferable finders' warrants exercisable at $0.08 for 24 months. The securities carry a four-month-plus-one-day hold period and are exempt from formal valuation and minority shareholder approval under MI 61-101.
