Palamina's Colt Silver Spin Out Receives FTA Environmental Permit for the Galena Silver Copper Project in Peru
Palamina secures an environmental permit for its inaugural Galena drilling program as the spin-out transaction nears completion.

Palamina Corp. is moving forward with the spin-out of its silver-copper subsidiary, Colt Silver Corp., which is set to list on the TSX Venture Exchange under the ticker "COLT". As part of the separation, an amending agreement has modified the exchange ratio to one Colt Silver share for every four Palamina shares, a change from the previously announced 1:3 ratio. Additionally, Palamina will forgive approximately $389,493 in debt owed by Colt Silver to facilitate the transaction.
The spin-out requires shareholder approval at a meeting scheduled for September 24, 2026. Meanwhile, Colt Silver has received its Ficha Técnica Ambiental (FTA) environmental permit from Peru's Ministry of Energy and Mines (MINEM) for the Galena Silver Copper Project. The permit authorizes the construction of up to 20 drill pads, clearing a major regulatory hurdle for exploration. An inaugural 2,500-meter drilling program is scheduled to commence in October 2026 at Galena, a project that has never been drilled.
Palamina Corp. (PA) has secured a Final Term Approval (FTA) permit, a necessary regulatory milestone for a junior explorer preparing to drill. This confirmation of project advancement does not alter the geological risk profile or provide new resource estimates.
Additionally, the company has implemented a change in the exchange ratio to 1:4 and debt forgiveness as corporate restructuring mechanics to finalize the spin-out. These measures are incremental and do not represent new value creation.
The primary catalyst remains the October 2026 drilling program. Until assay results are released, the market impact is limited to routine progress tracking. The news is positive but fully priced into the current consolidation phase, constituting no material shift in fundamentals or valuation.
