Stria Receives Conditional Approval on Change of Business Transaction

Stria Lithium Inc. (TSXV: SRA) has received conditional approval from the TSX Venture Exchange for a Change of Business (COB) transaction, which effectively functions as a reverse takeover. The transaction involves the acquisition of a net smelter return (NSR) royalty of up to 2% on the Mt Henry Gold Project in Western Australia from Alicanto Minerals Ltd., now known as Sinclair Gold Ltd. (ASX: SGC).
Concurrent with the COB, the company is raising $12 million through a private placement of 16,000,000 common shares at $0.75 per share. Upon closing, Stria will change its corporate name to Arc Mineral Royalties Ltd. The transaction is expected to close before the end of the week, subject to customary closing conditions and shareholder approval via written consent, which is currently being obtained.
The COB is being executed pursuant to Policy 5.2 - Changes of Business and Reverse Takeovers. The move marks a shift in the company’s business model from mining exploration to an investment issuer. A filing statement dated August 20, 2026, and a Technical Report have been filed on SEDAR+.
