Canstar Resources Inc. has entered into a first amending agreement to its promissory note with BQS Systematic Equities LP, an entity controlled by director J. Paul Austin III. The amendment extends the maturity date from August 14, 2026, to September 16, 2026, and increases the aggregate principal cap to the Canadian-dollar equivalent of C$500,000.
An additional US$70,000 was advanced on August 14, 2026, bringing the total outstanding principal to US$241,000. The note remains unsecured, non-interest-bearing, and non-convertible. Proceeds are designated for interim working capital until the closing of a previously announced credit facility, which will be used to repay and cancel the note. The transaction is classified as a related-party transaction under Multilateral Instrument 61-101, with the director abstaining from voting.
