Fidelity Minerals Corp. has closed its previously announced non-brokered private placement, upsizing the transaction from 2,500,000 to 5,000,000 units in response to investor demand. The financing was priced at C$0.20 per unit, generating aggregate gross proceeds of C$1,000,000.
Each unit consists of one common share and one-half of one transferable common share purchase warrant. The warrants carry a C$0.30 exercise price, expire on August 20, 2028, and include an acceleration clause if shares trade at or above C$0.60 for 10 consecutive days.
Insider participation included 461,250 units subscribed by a director. Finder’s fees total C$55,650 in cash plus 278,250 finder warrants. Net proceeds will fund exploration and community relations programs for the Las Huaquillas project in Peru, alongside general working capital. The closing remains subject to final TSX Venture Exchange approval, with a statutory hold period expiring December 21, 2026.
